Replacement of Personnel i. Except as the Trust may otherwise agree, no changes shall be made in the Key Personnel i.e., MD/CEO of the hospital, MEDCO. If, for any reason beyond the reasonable control of the Service Provider it becomes necessary to replace any of the Personnel, the Service Provider shall forthwith provide as a replacement to a person of equivalent or better qualifications. The procedure of change of MD/ CEO prescribed herein shall be followed.
Replacement of Personnel. If Flagstar reasonably and in good faith determines that it is not in Flagstar's best interests for any ISSC or subcontractor employee to be appointed to perform or to continue performing any of the Services, Flagstar shall give ISSC written notice specifying the reasons for its position and requesting that such employee not be appointed or be removed from the ISSC employee group servicing Flagstar and be replaced with another ISSC employee or subcontractor. Promptly after its receipt of such a notice, ISSC shall investigate the matters set forth in the notice, discuss with Flagstar the results of the investigation, and resolve the matter on a mutually agreed basis with Flagstar.
Replacement of Personnel. 19.1 Without prejudice to any other rights of the Company under the Agreement, the Company shall have the right to issue a notice in writing to the Supplier notifying the Supplier that, as determined by the Company in its sole discretion, the Supplier’s employee(s), officer(s), agent(s) (collectively, “Personnel”):
Replacement of Personnel. Each Party shall have the right, at any time, to designate by written notice to the other Party a replacement for any of such Partiesmembers on any of the committees mentioned in this Section 3, provided in such replacement has a functionally equivalent position (regardless of title) to the person being replaced.
Replacement of Personnel. PCCA, in its sole discretion, shall have the right to demand that Engineer replace any personnel providing Services to PCCA under the terms of a Service Order. Upon receipt of PCCA’s demand, Engineer will immediately replace the specified personnel with personnel substantially equal in ability and qualifications. The criteria for demanding replacement of an individual will be based on, but not limited to, the following: technical incompetence, inability to meet the position qualifications, failure to perform an assignment, poor attendance, ethics violation, unsafe work habits, damage to PCCA property, or reasonable PCCA dissatisfaction.
Replacement of Personnel. 38.2.1 Health may Notify the Service Provider that it requires the Service Provider to replace any of the Service Provider Personnel (including Key Personnel) involved in performing the Services for the reasons stated in the Notice. After receipt of that Notice, the Service Provider must replace that person with another person of suitable ability and qualifications.
Replacement of Personnel. Notwithstanding anything to the contrary contained elsewhere in this Agreement, if the Client believes that the performance or conduct of any Vendor Person or Subcontractor is unsatisfactory for any reason, or is not in compliance with the provisions of this Agreement, the Client may so notify Vendor, and shall provide an explanation of the unsatisfactory or noncompliant performance or conduct. Vendor shall promptly (within no more than two (2) business days) begin an investigation into the performance or conduct of such person, which investigation shall be completed within ten (10) business days. At the Client’s reasonable request and following completion of a full investigation that substantiates the basis of the request, Vendor shall promptly remove such person. In such event, Vendor shall promptly replace that person with another person acceptable to the Client and meeting all of the applicable requirements described in this Section.
Replacement of Personnel. If for any reason any of the Contractor's personnel has an extended illness, or is terminated either by the employee's choice or the Contractor's choice, the Contractor shall be responsible for the replacement of personnel necessary to complete the Work on time. The Contractor shall remove from the Work and replace any person whose performance, attendance, or conduct is unsatisfactory.
Replacement of Personnel. The replacement of Grantee's project staff and/or key personnel would be a material deviation from this Agreement and, thus, cause for termination. Accordingly, the Grantee agrees to provide Pew with written notification two weeks before replacing such project staff and/or key personnel, provided, however, that where immediate termination is clearly necessary to protect the interests of the project, the Grantee need only provide Pew with such notice both as soon as possible and before selecting a replacement. Subcontractors and Subgrantees. Grantee agrees that, if it engages subcontractors or subgrantees (Subcontractor) to help carry out the project funded by this Grant, it shall use its best efforts to ensure that such Subcontractors are bound by this Agreement. At a minimum, Grantee shall notify Subcontractor in writing of the following requirements: (a) Subcontractor is prohibited from using names, logos, or other marks owned by or associated with Pew for any purpose without Pew's prior written consent; (b) if applicable, Subcontractor shall grant Pew a license to any Work Product it creates (as set forth in “Intellectual Property” above); (c) Subcontractor shall comply with all applicable laws in the performance of the work related to this Grant; (d) Subcontractor shall comply with Pew's “No Campaign Intervention or Lobbyingclause; and (e) Subcontractor shall not disclose or use information about Pew for purposes other than performing the work related to this Grant.
