Replacement Contractor. The Authority may enter into a new contract with another contractor that will occupy the Premises for all or any part of the unexpired portion of the period of this Contract or for any longer period. The Authority has the sole and absolute discretion with respect to the selection of a new contractor and the use of the Premises. The Authority shall be under no obligation to enter into or attempt to enter into a new contract for the Premises.

Replacement Contractor. In the event that OGS terminates this Aggregate Hardware Buy 18-01 Agreement or any awarded Configuration included herein, OGS reserves the right to then make an award to the Contractor with the next highest Total Financial Score that is willing to accept an Agreement or Configuration award. Under no circumstances will the new awardee be permitted to increase its component prices for Standard Configurations or decrease the percentage discounts on Required Product categories that were finalized at the conclusion of the On-Line Reverse Auction.
Replacement Contractor. If requested by OGS, Contractor shall provide backup documentation of all quarterly sales reports to support a sales and fiscal audit of the Administrative Fee to be paid to OGS. These records will be made available on request, no more than fifteen (15) business days after request, in a searchable electronic format as specified by OGS. Replacement Contractor. In the event that OGS terminates this Contract, OGS reserves the right to then make a contract award to the RFP 23116 Bidder with the next highest Final Cost Proposal Score that is willing to accept a Contract award. The new Contract awardee will be required to update its original Cost proposal, which shall include any decreases in Net Reseller Cost and which may include any increases in Net Reseller Cost that occurred after July 12, 2018, the deadline for Submission of Bid and Bid Opening of RFP 23116. Prices will increase or decrease by the Contractor applying the applicable Program Agreement Cost-Plus/Cost-Minus Percentage, included in the Contractor’s original Bid submission, to the then current Net Reseller Cost set by Microsoft for each SKU. Under no circumstances will the new Contract awardee be permitted to increase the Cost-Plus Percentages or decrease the Cost-Minus Percentages included with its initial Bid submission. Any changes in pricing attributable to a change in Net Reseller Cost are required to be attested to by the Contractor via Appendix L, Contractor Attestation.

Business Associate must enter into this Business Associate Agreement before any use by or disclosure of PHI to such agent. The written agreement must identify Covered Entity as a direct and intended third party beneficiary with the right to enforce any breach of the agreement concerning the use or disclosure of PHI. Business Associate shall provide a copy of the Business Associate Agreement it enters into with a subcontractor to Covered Entity upon request. Business associate may not make any disclosure of PHI to any Subcontractor without prior written consent of Covered Entity.

  • Vendor’s Subcontractors TIPS recognizes that many vendors operate in the open market through the use of subcontractors. For that reason, TIPS permits Vendor to utilize subcontractors as authorized and permitted by the TIPS Member Customer. However, all purchase documents must include: (1) Vendor’s Name, as known to TIPS, and; (2) Vendor’s TIPS Contract Name and Number under which it is making the TIPS Sale. Vendor must report the sale pursuant to the terms herein and Vendor agrees that it is legally responsible for all reporting and fee payment as described herein for TIPS Sales even when subcontractors are utilized. The TIPS Administration Fee is assessed on the amount paid by the TIPS Member to Vendor. The Parties intend that Vendor shall be responsible and for actions of subcontractors during a TIPS Sale. Vendor agrees that it is voluntarily authorizing subcontractors and in doing so, Xxxxxx agrees that it is doing so at its own risk and agrees to protect, indemnify, and hold TIPS harmless in accordance with Sections 14-17 above related to subcontractor TIPS Sales made pursuant to this Agreement or purporting to be made pursuant to this Agreement that may be asserted against Vendor whether rightfully brought or otherwise. The Parties further agree that it is no defense to Vendor’s breach of this Agreement that a subcontractor caused Vendor of breach this Agreement.
