The Rent Rolls for the Portfolio Properties as of June 30, 1998 previously delivered to the Agent pursuant to the Revolving Facility (i) have been prepared in accordance with the books and records of the Portfolio Properties, and (ii) fairly present the leasing status of the Portfolio Properties as of the date thereof. Since the date of said Rent Rolls there has been no substantial adverse change to the leasing status of the Portfolio Properties.
