Remedy in the Event of Breach. In addition to all other rights and remedies available to the Company under law or in equity, the Company shall be entitled to cease all Termination Benefits to Employee in the event of Employee's material breach of this Section 9.
Remedy in the Event of Breach. The Parties specifically acknowledge and agree that the remedy at law for any breach of the foregoing provisions of this Article XIV may be inadequate and that Purchaser, in addition to any other relief available to it, shall be entitled to such temporary and permanent injunctive relief as a court of competent jurisdiction may determine without the necessity of posting a bond. In the event that any of the provisions of this Article XIV should ever be deemed to exceed any limitations provided by applicable law, then the Parties agree that such provisions shall be reformed to set forth the maximum limitations permissible by such law.
Remedy in the Event of Breach. In addition to all other rights and remedies available to the Company under law or in equity, the Company shall be entitled to revoke all payments and benefits to Executive under Section 2 above in the event of Executive’s material breach of this Section 3.
Remedy in the Event of Breach. In addition to all other rights and remedies available to the Company under law or in equity, the Company shall be entitled to withhold all benefits under Section 2(e) from Employee in the event of his material breach of this Release, including this Section 3.
Remedy in the Event of Breach. In the event that either party breaches any of their obligations under this Agreement or as otherwise imposed by law, the non-breaching party shall be entitled to obtain any relief provided under law or equity.
Remedy in the Event of Breach. In addition to all other rights and remedies available to the Company under law or in equity, the Company shall be entitled to withhold all Separation Benefits from Executive in the event of his material and uncured breach of this Section 7 prior to Executive’s receipt of such Separation Benefits.
Remedy in the Event of Breach. In the event of an uncured breach of any provision or covenant of this Agreement by Xxxxxxxx, after having first received 10 days written notice from Fortis advising of the breach, Fortis shall be entitled to immediately cease and terminate any compensation payable under Paragraph 1 of this Agreement, provided that if Fortis does not elect to terminate the payments as provided above because it believes that monetary damages provided by such termination of payments would not be adequate and that damages generally would be difficult or impossible to determine with accuracy, then Fortis shall instead be entitled (without posting bond or other security) to an injunction or injunctions to prevent breaches of the agreements in Paragraph 3 of this Agreement and to enforce specifically such agreements in accordance with their terms in any action instituted in any court of competent jurisdiction. The prevailing party in any such action shall be entitled to costs and expenses, including reasonable attorneys' fees, as a part of the remedies in such action. Such remedies, included in this Paragraph, shall be in place of all other remedies available at law or in equity, including, without limitation, injunctions, damages, costs and reasonable attorney's fees. In exercising its rights under this Paragraph, Fortis agrees to act reasonably and in good faith.
Remedy in the Event of Breach. In the event that the City of Ormond Beach fails to make timely payment to the Humane Society for services rendered pursuant to this Agreement, the Humane Society, in its sole discretion, may elect to terminate this Agreement and cease providing services to the City of Ormond Beach. If the Humane Society exercises this option, it will provide the City of Ormond Beach with thirty (30) days written notice of its decision to terminate the Agreement. The City of Ormond Beach will remain responsible for payment for all services rendered by the Humane Society prior to and during the thirty (30) day notice period. Upon expiration of the thirty (30) day notice period, the Humane Society will no longer provide any services to the City of Ormond Beach.
Remedy in the Event of Breach. The receipt of the Termination Benefits shall be subject to Executive not violating the provisions of this Agreement or the Proprietary Information Agreement. In the event Executive breaches the provisions of this Agreement or the Proprietary Information Agreement, in addition to all other rights and remedies available to the Company under law or in equity, all continuing payments and benefits to which Executive may otherwise be entitled pursuant to Section 3 shall be immediately suspended, provided that if it is subsequently determined by arbitration or by a court of competent jurisdiction that Executive did not breach such provisions, all suspended amount shall be promptly paid to Executive.
