Remedies for Default by JoePC. (a) Upon the occurrence of a JoePC Event of Default, subject to the provisions of Article VI, the City shall be entitled to seek all legal and equitable remedies available under Florida law, including without limitation, termination of this Lease, removal of JoePC from the Leased Property, specific performance, injunctive relief, and damages. If the City obtains the right to terminate this Lease, by mutual agreement with JoePC or from a final order by a court with jurisdiction from which the time for appeal has expired or a binding arbitration panel, the Term of this Lease shall terminate upon the mutually agreed upon date or the date set forth in the final order from such court or arbitration panel, as fully and completely as if that date were the date herein originally fixed for the expiration of the Term. On the date mutually agreed upon or as specified in such final order, ▇▇▇▇▇ shall then quit and peaceably surrender the Complex (which includes the Leased Property and the JoePC Improvements) to the City in accordance with Section 11.5; (b) Upon the termination of this Lease, as provided in this Section 7.2, all rights and interest of JoePC in and to the Leased Property and the JoePC Improvements, and every part thereof shall cease and terminate, and the City may, in addition to any other rights and remedies it may have, retain all sums paid to it by JoePC under this Lease; and (c) If this Lease is terminated after the Possession Date but prior to the Completion Date due to the occurrence of a JoePC Event of Default, JoePC hereby agrees that, the City shall have the right upon its request, but not the obligation, to take assignment of all JoePC’s construction contracts and, without payment or further permission from either JoePC or the professionals that created or prepared same, to use the plans and specifications, including without limitation, the Approved Plans, designs, approvals, permits and other work product produced by ▇▇▇▇▇ and/or others for use in the development, construction and operation of the Work; and in support of this agreement, JoePC covenants to include reference to this provision and the City’s rights here stated in all such contracts with third parties.
