The Investor agrees, acknowledges and understands that the Company and its counsel are entitled to rely on the representations, warranties and covenants made by the Investor herein. The Investor further represents and warrants that this Agreement does not contain any untrue statement or a material fact or omit any material fact concerning the Investor and that the Investor Questionnaire accompanying this Agreement in the form attached hereto as Exhibit C does not contain any untrue statement or a material fact or omit any material fact concerning the Investor.
