Releases of Encumbrances. To Buyer, releases, in form and substance satisfactory to Buyer, of all Encumbrances affecting any of the Acquired Assets other than Permitted Encumbrances.

To Buyer, releases, in form and substance satisfactory to Buyer, of all Encumbrances affecting any of the Acquired Assets other than Permitted Encumbrances, including, but not limited to, a payoff letter of the debt owed to Triad Bank, N.A. and releases of all Encumbrances of Triad Bank, N.A. against all assets of Sellers.

Seller shall have delivered to Purchaser or Title Company, as applicable, (i) UCC Termination Statements for each UCC-1 Financing Statement filed against any Personal Property of the Company or any Subsidiary, sufficient to release Encumbrances, other than Permitted Encumbrances, against the Personal Property, (ii) releases of those certain Encumbrances set forth on Schedule 10.10 and (iii) releases, title affidavits or such other instruments as may be reasonably requested by the Title Company in order to, with respect to each Title Policy, omit standard title exceptions (but if and only to the extent applicable) and Encumbrances (other than Permitted Encumbrances) from each such Title Policy.
Releases of Encumbrances. Sellers shall have delivered to Buyer evidence, in a form reasonably satisfactory to Buyer, of releases of all Encumbrances with respect to all Assets, other than Permitted Encumbrances (excluding clause “e” of the definition thereof).
Releases of Encumbrances. Sellers and IP Sellers shall have obtained releases of all material Encumbrances relating to the Purchased Assets and the Purchased IP Assets (other than the Permitted Encumbrances).

The Seller shall have obtained and delivered to the Buyer lien releases from any and all parties that have any Liens on any of the Purchased Assets, including, without limitation, duly executed termination statements which, when filed with the appropriate Regulatory Authorities, will terminate all financing statements or other Liens on the Purchased Assets.
Releases of Encumbrances. The Buyer shall have received duly executed releases of all Encumbrances on the Purchased Assets, each in the form specified by the Buyer, and UCC termination statements with respect to all such Encumbrances.
