Common use of Release and Indemnity Clause in Contracts

Release and Indemnity. Licensee shall indemnify, defend, and hold harmless the City and its agents, officers, and employees from and against any and all liabilities, penalties, fines, forfeitures, demands, claims, causes of action, suits, costs and expenses incidental thereto (including, but not limited to reasonable attorney’s fees), of any kind or nature, directly or indirectly caused by, arising out of, or related to the intentional or negligent acts or omissions of the Licensee and its agents, officers, employees, contractors, subcontractors, permittees, guests, invitees, and any third party present at the Property during the Event.
