Relationship Agreement. If:
(a) any event or circumstance specified under paragraphs (a), (b) or (c) of Clause 10 (Termination) of the Relationship Agreement occurs or exists at any time (provided that such event or circumstance is not remedied within any applicable grace period); or
(b) any cancellation, amendment or waiver is granted in respect of the Relationship Agreement that would, upon effect and in the opinion of the Facility Agent (acting reasonably, on the instructions of the Majority Lenders and determined within 14 days of receipt by the Facility Agent of the executed documentation, and supporting information, required to be delivered in accordance with Clause 18.4(d) (Information – miscellaneous)), be likely to have, or result in, a Material Adverse Effect, unless the cancellation, amendment or waiver is:
(i) capable of remedy; and
(ii) remedied within 14 days of the Facility Agent giving written notice to the Parent of its determination that the relevant cancellation, amendment or waiver, if allowed to remain in effect, would be likely to have, or result in, a Material Adverse Effect.
Relationship Agreement. The relationship agreement specified under clause 2.9.4 must be completed before the end of 2020. Review of this agreement will then be when the new PSA National Delegate Group is assembled, which we expect to be June 2021.
Relationship Agreement. On the NESR Closing Date, Olayan and NESR shall enter into that certain Relationship Agreement, in the agreed form attached as Exhibit A (Relationship Agreement), pursuant to which, as of the NESR Closing Date, and in accordance with the terms set forth therein, (i) Olayan shall have the right to nominate one director to the board of NESR and (ii) Olayan shall be restricted from transferring the Lock- Up Shares for a period of six (6) months following the NESR Closing Date (the “Lock-Up”). For the avoidance of doubt, the Non Lock-Up Shares shall not be subject to the Lock-Up.

Relationship Agreement. The Relationship agreement outlines “The Board shall be the owner and operator of the PAC Business, and shall be solely responsible for the administration of the FirstOntario Performing Arts Centre and the PAC Business”, including the budget.
