Registered Instrument. This Note is a registered instrument and is not a bearer instrument. This Note is registered as to both principal and interest with the Borrower and all payments hereunder shall be made to the named Lender or, in the event of a transfer pursuant to Section 6.6 of the Loan Agreement, to the transferee identified in the record of ownership of this Note maintained by the Lender on behalf of the Borrower. Transfer of this Note may not be effected except in accordance with the provisions hereof.

Registered Instrument. It is the intention of Borrower and Trustee that (a) all Interest accrued and paid on the Indebtedness pursuant to this A&R Note will qualify for exemption from United States withholding tax as “portfolio interest,” because the Indebtedness is an obligation which is in “registered form,” within the meaning of Sections 871(h)(2)(B) and 881(c)(2)(B) of the Internal Revenue Code of 1986, as amended (the “Code”), and the applicable Treasury Regulations promulgated thereunder, and (b) as such, all interest accrued and paid on the Indebtedness will be exempt from United States information reporting under Sections 6041 and 6049 of the Code and United States backup withholding under Section 3406 of the Code. The parties hereto agree to cooperate with one another, and to execute and file such forms or other documents, or to do or refrain from doing such other acts, as may be required, to secure such exemptions from United States withholding tax, information reporting, and backup withholding. In furtherance of the foregoing, Trustee hereby represents, warrants and covenants with Borrower that (i) Trustee is not, and will not be as long as any amounts due under the Indebtedness have not been paid in full, a “United States person,” within the meaning of Section 7701(a)(30) of the Code; (ii) Trustee is not, and will not be as long as any amounts due under the Indebtedness have not been paid in full, a person described in Section 881(c) (3) of the Code; (iii) on or prior to the date hereof and on or prior to the date all amounts due under the Indebtedness have been paid in full, Trustee shall provide Borrower with a properly executed U.S. Internal Revenue Service (“IRS”) Form W- 8BEN, Certificate of Foreign Status of Beneficial Owner for United States Tax Withholding or Form W-8BEN-E, Certificate of Status of Beneficial Owner for United States Tax Withholding and Reporting (Entities), as the case may be, or any successor form prescribed by the IRS pursuant to FATCA or otherwise, certifying as to Trustee’s status for purposes of determining exemption from United States withholding tax, information reporting and backup withholding with respect to all payments to be made to Trustee hereunder; (iv) if an event occurs that would require a change in the exempt status of Trustee or any of the other information provided on the most recent IRS Form W-8BEN or Form W-8BEN-E (or successor form) previously submitted by Trustee to Borrower hereunder, Trustee will so inform Borrower i...
Registered Instrument. This Lease is a registered instrument. A manually signed copy of this Lease shall be evidence only of Lessor's and Lessee's rights and is not a bearer instrument. The Lessor agrees with the Lessee that the Lessee shall keep books of registry by which Lessee will register by book entry, and register by book entry any transfer of, Lessor's interest in this Lease and in the right to receive any payments under this Lease. Prior to the due presentment for registration of any transfer of Lessor's interest in this Lease, the Lessee and the Lessor shall deem and treat the Person in whose name this Lease is registered in the books of registry as the absolute owner of this Lease and the holder of this Lease for the purpose of receiving payment of all amounts payable with respect to this Lease. Lessor's interest in this Lease and in the rights to receive any payments under the Lease may be transferred only pursuant to and in compliance with the provisions of this Lease, which transfers shall be registered by book entry made by the Lessee in its books of registry. No transfer by Lessor (whether or not with Lessee's consent) of any interest in this Lease or in the right to receive any payments hereunder shall be permitted unless a book entry of such transfer is made upon such registry and such transfer is otherwise in accordance with the terms of this Lease.
Registered Instrument. (a) This Lease is a registered instrument. The Lessee will keep a record of ownership (the "Record of Ownership") in which it will register, and will register any transfer of, the Lessor's interest in this Lease and in the rights to receive any payments hereunder.

  • Registered Nurse Level 3 (RN3) An employee at this level may also be known as a Clinical Nurse Consultant, Nurse Manager or Nurse Educator. An employee appointed at this level: Holds any other qualification required for working in the employee’s particular practice setting; and is appointed as such by a selection process or by reclassification from a lower level when that the employee is required to perform the duties detailed in this subclause on a continuing basis.   • Registered Nurses Requests for a different shift in the nurse's present unit should be submitted to the nurse's immediate supervisor in writing. Requests for transfer to another unit should be submitted on the University’s Employment Website. A good faith effort will be made to facilitate lateral transfers from one unit to another. The nurse's length of service shall be a consideration on transfer to a different shift or unit. Applications for promotions should be submitted on the University’s Employment Website during the period of official posting. Promotional openings will be posted for a minimum of seven calendar days in the unit, the Nursing and Outpatient Clinic Administrative Office and the Medical Centers Human Resources Office.

  • Non-Book Entry Certificate to Global Certificate If a holder of a Non-Book Entry Certificate that is a Private Certificate (other than any Risk Retention Certificate during the RR Interest Transfer Restriction Period, a Class S Certificate or a Class R Certificate) wishes at any time to exchange its interest in such Non-Book Entry Certificate for an interest in a Global Certificate of the same Class, or to transfer all or part of such Non-Book Entry Certificate to an institution that is entitled to take delivery thereof in the form of an interest in a Global Certificate, such holder may, subject to the rules and procedures of Euroclear or Clearstream, if applicable, and the Depository, cause the exchange of all or part of such Non-Book Entry Certificate for an equivalent beneficial interest in the appropriate Global Certificate of the same Class. Upon receipt by the Certificate Registrar, as registrar, at its office designated in Section 5.11 of this Agreement, of (1) such Non-Book Entry Certificate, duly endorsed as provided herein, (2) instructions from such holder directing the Certificate Registrar, as registrar, to credit, or cause to be credited, a beneficial interest in the applicable Global Certificate equal to the portion of the Certificate Balance of the Non-Book Entry Certificate to be exchanged, such instructions to contain information regarding the participant account with the Depository to be credited with such increase and (3) a certificate in the form of Exhibit I to this Agreement (in the event that the applicable Global Certificate is the Temporary Regulation S Global Certificate), in the form of Exhibit J to this Agreement (in the event that the applicable Global Certificate is the Regulation S Global Certificate) or in the form of Exhibit K to this Agreement (in the event that the applicable Global Certificate is the Rule 144A Global Certificate), then the Certificate Registrar, as registrar, shall cancel, or cause to be canceled, all or part of such Non-Book Entry Certificate, and shall, if applicable, direct the Certificate Administrator to execute, authenticate and deliver to the transferor a new Non-Book Entry Certificate equal to the aggregate Certificate Balance of the portion retained by such transferor and shall instruct the Depository to increase, or cause to be increased, such Global Certificate by the aggregate Certificate Balance of the portion of the Non-Book Entry Certificate to be exchanged and to credit, or cause to be credited, to the account of the institution specified in such instructions a beneficial interest in the applicable Global Certificate equal to the Certificate Balance of the portion of the Non-Book Entry Certificate so canceled.

  • Restrictions on Transfer of a Definitive Security for a Beneficial Interest in a Global Security A Definitive Security may not be exchanged for a beneficial interest in a Global Security except upon satisfaction of the requirements set forth below. Upon receipt by the Trustee of a Definitive Security, duly endorsed or accompanied by a written instrument of transfer in form reasonably satisfactory to the Company and the Registrar, together with:

  • Denominations; Registration Certificates for the Initial Securities and the Option Securities, if any, shall be in such denominations and registered in such names as the Representatives may request in writing at least one full business day before the Closing Time or the relevant Date of Delivery, as the case may be. The certificates for the Initial Securities and the Option Securities, if any, will be made available for examination and packaging by the Representatives in The City of New York not later than 10:00 A.M. (Eastern time) on the business day prior to the Closing Time or the relevant Date of Delivery, as the case may be.

  • Transfer of Beneficial Interests to Another Restricted Global Security A beneficial interest in a Transfer Restricted Global Security may be transferred to a Person who takes delivery thereof in the form of a beneficial interest in another Transfer Restricted Global Security if the transfer complies with the requirements of Section 2.2(b)(ii) above and the Registrar receives the following:

  • Future Registered Marks If any Xxxx registration is issued hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such Xxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such Xxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.

  • Global Certificate The Partnership and the General Partner will enter into the Depository Agreement pursuant to which the Depository will act as securities depository for the Units. Units will be represented by the Global Certificate (which may consist of one or more certificates as required by the Depository), which will be registered, as the Depository shall direct, in the name of Cede & Co., as nominee for the Depository and deposited with, or on behalf of, the Depository. No other certificates evidencing Units will be issued. The Global Certificate shall be in the form attached hereto as Exhibit A and shall represent such Units as shall be specified therein, and may provide that it shall represent the aggregate amount of outstanding Units from time to time endorsed thereon and that the aggregate amount of outstanding Units represented thereby may from time to time be increased or decreased to reflect creations or redemptions of Baskets (as defined in Section 16.1). Any endorsement of a Global Certificate to reflect the amount, or any increase or decrease in the amount, of outstanding Units represented thereby shall be made in such manner and upon instructions given by the General Partner on behalf of the Partnership as specified in the Depository Agreement.
