Refund or Payment upon Termination. Upon any termination for cause by You, We shall refund You any prepaid fees covering the remainder of the term of all subscriptions after the effective date of termination. Upon any termination for cause by Us, You shall pay any unpaid fees covering the remainder of the term of all Order Forms after the effective date of termination. In no event shall any termination relieve You of the obligation to pay any fees payable to Us for the period prior to the effective date of termination.
Refund or Payment upon Termination. If this Agreement is terminated by You in accordance with Section 12.3 (Termination), We will refund You any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Us in accordance with Section 12.3, You will pay any unpaid fees covering the remainder of the term of all Order Forms. In no event will termination relieve You of Your obligation to pay any fees payable to Us for the period prior to the effective date of termination.
Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, Xxxxxx will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by Xxxxxx in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to Xxxxxx for the period prior to the effective date of termination.
Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with Section 14.2 (Termination), LogRhythm will refund Customer any prepaid, unused fees for services. If this Agreement is terminated by LogRhythm in accordance with this Section 14.3, Customer will pay any unpaid fees covering the remainder of the applicable term of all Orders. In no event will termination relieve Customer of its obligation to pay any fees payable to LogRhythm prior to the effective date of termination.
Refund or Payment upon Termination. Upon any termination of this Agreement for cause by Subscriber pursuant to Section 9.4(i)or by CPI pursuant to Section 9.3(a)(iii), CPI shall refund to Subscriber a pro-rata portion of any pre-paid Subscription Fees based upon the remaining Cloud Plan term. Upon any termination for any other reason, Subscriber shall not be entitled to any refund of any Subscription Fees as a result of such termination. Except as otherwise set forth in this Agreement, in no event shall any termination relieve Subscriber of any unpaid Subscription Fees due CPI for the Cloud Plan term in which the termination occurs or any prior Cloud Plan term.
Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with Section 9.4 (Termination for Breach) or Section 9.5 (Termination for Financial Incapability) , Axway will provide a pro-rata refund to Customer of any prepaid fees for the remainder of the prepaid term as of the date of termination. If this Agreement is terminated by Axway in accordance with Section 9.4 (Termination for Breach) and Section 9.5 (Termination for Financial Incapability) , Customer will pay any unpaid fees covering the remainder of the t erm of all Ordering Documents. In no event the termination of this Agreement and/or any Ordering Document relieves Customer of its obligation to pay any fees payable to Axway for the period prior to the date of term ination.
Refund or Payment upon Termination. If this Agreement is terminated by Customer in accordance with the “Termination” section above, SFDC will refund Customer any prepaid fees covering the remainder of the term of all Order Forms after the effective date of termination. If this Agreement is terminated by SFDC in accordance with the “Termination” section above, Customer will pay any unpaid fees covering the remainder of the term of all Order Forms to the extent permitted by applicable law. In no event will termination relieve Customer of its obligation to pay any fees payable to SFDC for the period prior to the effective date of termination.
Refund or Payment upon Termination. Upon Termination of this Agreement You will cease using the Software and Services immediately and delete the Software and Documentation from all Your equipment and storage media. If You terminate in accordance with Section 4.5(ii), We will refund You any prepaid fees covering the remainder of all Order Form Terms after the effective date of termination. If this Agreement is terminated by Us in accordance with Section 4.5, You will promptly pay any unpaid amounts including those covering the remainder of all Order Forms Terms. In no event will termination relieve You of Your obligation to pay any fees payable to Us for the period prior to the effective date of termination.
Refund or Payment upon Termination. Upon any termination for cause by Licensee, SOTI or the respective authorized representative shall refund Licensee any prepaid fees covering the remainder of the term of all subscriptions after the effective date of termination. Upon any termination for cause by SOTI, Licensee shall pay any unpaid fees covering the remainder of the term after the effective date of termination. In no event shall any termination relieve Licensee of the obligation to pay any fees payable to SOTI or its respective authorized representative for the period prior to the effective date of termination.
Refund or Payment upon Termination. Upon any termination for cause by Customer, Adverity shall refund Customer any prepaid fees covering the remainder of the Term after the Effective Date of termination. Upon any termination for cause by Adverity, Customer shall pay any unpaid fees covering the remainder of the term of all Commercial Agreements after the Effective Date of termination. In no event shall any termination relieve Customer of the obligation to pay any fees payable to Adverity for the period prior to the Effective Date of termination.
