Refund Obligation. If this Agreement is terminated for any reason pursuant to Section 10, the Seller shall immediately refund the full amount of the Purchase Price to the Purchasers via wire transfer to an account or accounts designated by the Lead Purchaser. The Purchaser’s right to the return of the Purchase Price under this Section shall not be the Purchaser’s sole and exclusive remedy for a material breach by the Seller. The Purchaser shall be entitled to pursue any and all other remedies available at law or in equity.
