Refrain. The Companies and Seller shall refrain from knowingly taking, or omitting to take, and shall use reasonable efforts to avoid suffering or permitting, any action which would render inaccurate or untrue any of the representations or warranties of Seller or the Companies or any of them contained herein or would cause a breach of any of the covenants and agreements of Seller or the Companies or any of them hereunder.
