Redemption and Repurchase; Discharge Prior to Redemption or Maturity. This Note is subject to optional redemption, and may be the subject of an Offer to Purchase, as further described in the Indenture. If the Company deposits with the Trustee money or U.S. Government Obligations sufficient to pay the then outstanding principal of, premium, if any, and accrued interest on the Notes to redemption or maturity, the Company may in certain circumstances be discharged from the Indenture and the Notes or may be discharged from certain of its obligations under certain provisions of the Indenture.

Redemption and Repurchase; Discharge Prior to Redemption or Maturity. The Note are subject to optional redemption pursuant to Sections 3.01 and 3.02 of the Indenture, and may be the subject Change of Control Offer or an Offer to Purchase with the Excess Proceeds from any Asset Sale, in each case, as further described in the Indenture. Payments of accrued interest in the event of a Change of Control Offer or an Offer to Purchase with the Excess Proceeds from any Asset Sale shall be made in cash. The Notes are subject to a mandatory redemption pursuant to Section 3.03 of the Indenture. Other than with respect to Section 3.03 of the Indenture, the Company is not required to make mandatory redemption or sinking fund payments with respect to the Notes. Redemption and Repurchase; Discharge Prior to Redemption or Maturity. The Company may redeem the Notes at its option, in whole at any time or in part from time to time, at a redemption price equal to the greater of (i) 100% of the principal amount of the Notes to be redeemed, and (ii) as determined by the Quotation Agent, the sum of the present values of the remaining scheduled payments of principal and interest on the Notes to be redeemed (not including any portion of such payments of interest accrued as of the date of redemption), discounted to the date of redemption on a semi-annual basis (assuming a 360-day year consisting of twelve 30-day months) at the Treasury Rate, plus 15 basis points plus, in each case, accrued interest thereon to the redemption date. Redemption and Repurchase; Discharge Prior to Redemption or Maturity. Except as described below, the Notes are not redeemable at the Company’s option until May 15, 2014. The Notes are not subject to redemption through the operation of any sinking fund. Subject to certain conditions set forth in the Indenture, the Issuer at any time may terminate some or all of its obligations under the Notes and the Indenture if the Issuer deposits with the Trustee money or Government Obligations for the payment of principal and interest on the Notes to redemption or maturity, as the case may be.
