RECXXXXX. A. The Company desires to be assured of the association and services of Employee for the Company.
RECXXXXX. XxXxmm and Mermelstein are parties to a certain Promissory Note dated March 15, 0000 (Xxxxement); InComm and Mermelstein desire to amend the Agreement as it relates to them;
RECXXXXX. A. The Bank and Employee entered into a Separation Agreement dated December 5, 2001 (the "Agreement"), pursuant to which the Bank agreed to make certain payments to Employee for a period of eighteen (18) months commencing from November 1, 2001.
RECXXXXX. X. The Company desires to have Optionee become Chairman of the Board of Directors of the Company, encourage the stock ownership of Optionee and increase Optionee's proprietary interest in the Company.
RECXXXXX. 1. GM and Hughes intend that capitalized terms shall have the meaning set xxrth in Article I of this Agreement.
RECXXXXX. X. Reference is made to (i) that certain Bridge Loan Agreement of even date herewith (the "Loan Agreement") to which the Company and the Secured Party are parties, and (ii) the Transaction Agreements (as that term is defined in the Loan Agreement), including, without limitation, the Note. Capitalized terms not otherwise defined herein shall have the meanings ascribed to them in the relevant Transaction Agreements.
RECXXXXX. 1. Xhe Company desires to retain the services of Halpert as Chief Marketing Officer of the Company in accordance with xxx xxrms and conditions of this Agreement.
RECXXXXX. Xxxxxxive is currently employed by Company in the position of Executive Vice President. Company is the wholly owned subsidiary of Insight Enterprises, Inc. (the "Parent"). Company has decided to offer executive an employment agreement, the terms and provisions of which are set forth below.
RECXXXXX. 0. Company is engaged in the process of developing, manufacturing and marketing internet technologies and other products and services.
