Recovery Property. The Seller and the Issuer agree that after giving effect to the sale, transfer, assignment, setting over and conveyance contemplated hereby the Seller has no right, title or interest in or to the Phase-In-Recovery Property to which a security interest could attach because (i) it has sold, transferred, assigned, set over and conveyed all right in and to the Phase-In-Recovery Property to the Issuer, (ii) as provided in Section 4928.2313 of the Securitization Law, such rights become Phase-In-Recovery Property when conveyed hereunder and (iii) as provided in Section 4928.2312(C)(2) of the Securitization Law, appropriate financing statements have been filed and such transfer is perfected against all third parties, including subsequent judicial or other lien creditors. If such sale, transfer, assignment, setting over and conveyance is held by any court of competent jurisdiction not to be a true sale as provided in Section 4928.2313 of the Securitization Law, then such sale, transfer, assignment, setting over and conveyance shall be treated as a pledge of the Phase-In-Recovery Property and as the creation of a security interest (within the meaning of the Securitization Law and the UCC) in the Phase-In-Recovery Property and, without prejudice to its position that it has absolutely transferred all of its rights in the Phase-In-Recovery Property to the Issuer, the Seller hereby grants a security interest in the Phase-In-Recovery Property to the Issuer (and to the Indenture Trustee for the benefit of the Secured Parties) to secure their respective rights under the Basic Documents to receive the Phase-In-Recovery Charges and all other Phase-In-Recovery Property. The Issuer does hereby purchase the Phase-In-Recovery Property from the Seller for the consideration set forth in the preceding paragraph. The Seller and the Issuer each acknowledge and agree that the purchase price for the Phase-In-Recovery Property sold pursuant to this Xxxx of Sale and the Sale Agreement is equal to its fair market value at the time of sale. The Seller confirms that (i) each of the representations and warranties on the part of the Seller contained in the Sale Agreement are true and correct in all respects on the date hereof as if made on the date hereof and (ii) each condition precedent that must be satisfied under Section 2.02 of the Sale Agreement has been satisfied upon or prior to the execution and delivery of this Xxxx of Sale by the Seller.   • B8 Property B8.1 Where the Client issues Property free of charge to the Contractor such Property shall be and remain the property of the Client and the Contractor irrevocably licences the Client and its agents to enter upon any premises of the Contractor during normal business hours on reasonable notice to recover any such Property. The Contractor shall not in any circumstances have a lien or any other interest on the Property and the Contractor shall at all times possess the Property as fiduciary agent and bailee of the Client. The Contractor shall take all reasonable steps to ensure that the title of the Client to the Property and the exclusion of any such lien or other interest are brought to the notice of all sub-contractors and other appropriate persons and shall, at the Client’s request, store the Property separately and ensure that it is clearly identifiable as belonging to the Client.

  • Recovered Property If you or we recover any property for which we have made payment under this policy, you or we will notify the other of the recovery. At your option, the property will be returned to or retained by you or it will become our property. If the recovered property is returned to or retained by you, the loss payment will be adjusted based on the amount you received for the recovered property.
