Common use of Records Maintenance; Access Clause in Contracts

Records Maintenance; Access. 10.1. ▇▇▇▇▇▇▇ shall maintain all Records, are pertinent to this Contract, in such a manner as to clearly document ▇▇▇▇▇▇▇’s performance. 10.2. ▇▇▇▇▇▇▇ shall maintain all Records relating financial matters that are pertinent to this Contract in accordance with statutory accounting principles. 10.3. ▇▇▇▇▇▇▇ acknowledges and agrees that OHA and the Secretary of State’s Office and the federal government and their duly authorized representatives shall have access to all Records to perform examinations and audits and make excerpts and transcripts. Any audit will be subject to Carrier’s reasonable security and confidentiality requirements. Carrier shall retain and keep accessible all Records for the longer of: 10.3.1. Ten years following final payment and either (i) the termination of this Contract pursuant to Section 10 of Exhibit B or (ii) expiration of each term of this Contract; 10.3.2. The period as may be required by applicable law, including the records retention schedules set forth in OAR Chapter 166; or 10.3.3. Until the conclusion of any audit, controversy or litigation arising out of or related to this Contract.
