Common use of Records and Reports Clause in Contracts

Records and Reports. Subadviser (A) shall maintain such books and records as are required based on the services provided by Subadviser pursuant to this Agreement under the 1940 Act and as are necessary for Manager to meet its record keeping obligations generally set forth under Section 31 and related rules thereunder, (B) shall render to the Board such periodic and special reports as the Board or Manager may reasonably request in writing, and (C) shall meet with any persons at the request of Manager or the Board for the purpose of reviewing Subadviser's performance under this Agreement at reasonable times and upon reasonable advance written notice.

Subadviser (Aa) shall maintain such books and records as are required based on the services provided by Subadviser pursuant to this Agreement under the 1940 Act and as are necessary for Manager Subadviser to meet its record keeping obligations generally set forth under Section 31 of the 1940 Act and related rules thereunder, (Bb) shall render to the Board such periodic and special reports as the Board or Investment Manager may reasonably request in writing, and (Cc) shall meet with any persons at the request of Investment Manager or the Board for the purpose of reviewing Subadviser's performance under this Agreement at reasonable times and upon reasonable advance written notice.

Subadviser (A) shall maintain such books and records as are required based on the services provided by Subadviser pursuant to this Agreement under the 1940 Act and as are necessary for reasonably requested by Manager to meet its record keeping obligations generally set forth under Section 31 and related rules thereunder, (B) shall use reasonable efforts to render to the Board such periodic and special reports as the Board or Manager may reasonably request in writing, and (C) shall use reasonable efforts to meet with any persons at the request of Manager or the Board for the purpose of reviewing Subadviser's performance under this Agreement at reasonable times and upon reasonable advance written notice.
