EXHIBIT B CONSENT AGREEMENT This Consent Agreement is made and entered into by and among the undersigned Blue Plan, and ____________________ (“Life and Disability Controlled Affiliate”), and the Blue Cross and Blue Shield Association (“BCBSA”) and shall be deemed effective on ______________________ (“Effective Date”).

During the term of this Agreement, the Manufacturing Party shall keep and maintain accurate and complete records showing the expenses incurred by it in performing its activities under this Article 7 during the three (3) preceding calendar years, which books and records shall be in sufficient detail such that Manufacturing Party's Costs can accurately be determined.
