In addition, at least fourteen (14) days prior to the date of the first recording session for the Album concerned, you shall submit to Company in writing a proposed recording budget setting forth, in itemized detail, all anticipated Recording Costs for the album concerned. Upon receipt of Company's written approval of such recording budget, which shall not be unreasonably withheld, you shall commence such sessions. A proposed Recording Budget will be deemed approved which is not more than ninety percent (90%) of the applicable Recording Advance.\n(ii) Nothing in this agreement shall obligate Company to continue or permit the continuation of any recording sessions, even if previously approved hereunder, if Company reasonably anticipates that the Recording Costs for the applicable Masters will exceed the applicable Recording Advance or that Masters constituting the applicable Recording Commitment will not be Commercially Satisfactory.\n(iii) It is of the essence of this agreement that you obtain prior to each applicable recording session and deliver to Company within seventy-two (72) hours following each such recording session, a duly completed and executed Form 1-9 or such similar or other forms as may be prescribed by the United States Immigration and Naturalization Service or other government agency regarding citizenship, permanent residency or so-called \"documented worker\" status which Company notifies you of in respect of each individual employed to render recording services hereunder. You shall simultaneously obtain and deliver to Company true and complete copies of all evidentiary documents relating to the contents or subject matter of said forms. In the event you fail to comply with any of the foregoing requirements, Company may deduct any resulting penalty payments from all monies payable to you under this agreement.\n(b) No Recordings shall be made by or include unauthorized Sampling. (\"Sampling,\" as used herein, refers to the use and reproduction of pre-existing musical material, hereinafter \"Sampled Material,\" which is owned or controlled by any Person other than you, in a Recording hereunder, but is not intended to refer to Artist's newly recorded performance hereunder of a musical composition previously recorded by other recording artist(s) and heretofore released.) Concurrently with your delivery to Company of a Recording, you shall notify Company in writing of the names and addresses of all recording artists, record companies, songwriters and publishers and/or any other Persons who have any right, title or interest of any kind in any Sampled Material embodied in that Recording. You shall be solely responsible for obtaining all consents and licenses necessary or desirable in connection with the use, reproduction and licensing by Company, of any Sampled Material in any Recording hereunder for Records and Audiovisual Records and reproductions thereof, so that Company shall enjoy the full and perpetual rights granted to Company pursuant to paragraph 5 with respect to Recordings hereunder; at Company's request, you shall supply Company with fully executed copies of any such consents, licenses and other related documentation. You shall be solely responsible for and shall account for and pay to any and all Persons who own or control Sampled Material any monies or other compensation to which such Persons are entitled as a result of any use hereunder by Company of any Recording embodying such Sampled Material. Notwithstanding anything to the contrary expressed or implied herein, no royalties, Advances or other monies shall be earned by or payable to you hereunder or under any other agreement in connection with any Record embodying any Sampled Material, and no Recording embodying Sampled Material shall be deemed Delivered hereunder unless and until you have obtained, on Company's behalf, all rights No \"live\" Recording, Joint Recording, or Recording not made in full compliance with this agreement shall apply in fulfillment of your Recording Commitment, and RISING STAR shall not be required to make any payments in connection with any such Recording except any royalties which may become due under this agreement if the Recording is released or otherwise exploited by RISING STAR.\n(b) No Recordings shall be made by or include unauthorized Sampling. Approximately ten minutes before the Spanish participant was expected to arrive, the Dutch confed- erate of the corresponding sex (henceforth Confederate 1) also went to the meeting point and waited for HK, as did the Spanish participant. At the agreed time, HK went out to meet the Spanish participant and Confederate 1. \u2587\u2587 introduced himself to both and introduced them to each other. \u2587\u2587 then asked them to wait outside while he made some final preparations. Confederate 1 was instructed to use this time to start up a conversation in order to try and break the ice. HK started the audio and video recordings before returning to get the interlocutors. When entering the recording booth, Confederate 1 always took the same seat, leaving the chair at the head of the table for the Spanish participant. Both interlocutors were asked to put on their microphones and then HK told them that he would leave to get the task they were going to perform, and that it would be good for the project if, in the meantime, they got to know each other. HK did not explicitly mention the recordings, so that the Spanish participant would remain in doubt about whether they would start immediately or only after the speakers had received their task. For this initial part of the informal conversation, Confederate 1 had been instructed to discretely let the Spanish participant speak most of the time. Moreover, in order to diminish the Spanish participants\u2019 potential reluctance about speaking English, Confederate 1 was instructed to make the Spanish participants feel at ease and compliment them on their English if they expressed doubts about their proficiencies. Most conversations started with the interlocutors continuing to introduce themselves: they spoke about their education and daily lives. Quite quickly the conversations turned to other topics, such as the city of Madrid, football, travel and the crisis in Spain. This first part lasted about 25\u201330 minutes. When the conversation seemed to come to an end, \u2587\u2587 returned to the recording room with a name guessing game. The interlocutors were instructed to, alternately, pick a card which had a name of a public figure (from music, cinema, politics, sports, etc.) on it. They were to describe this public figure to their interlocutor, who had to guess the name on the card. For this part, Confederate 1 was instructed to, whenever possible, keep the conversation going about the name on the card or a related topic. This second part of the informal recordings lasted 15\u201320 minutes.
