Common use of Recordation of Assignments Clause in Contracts

Recordation of Assignments. If any Mortgage File includes one or more assignments of Mortgage that have not been recorded pursuant to the provisions of Section 2.01 of the Pooling and Servicing Agreement and the related Mortgaged Properties are located in jurisdictions specifically excluded by the Opinion of Counsel delivered to the Trustee pursuant to Section 2.01 of the Pooling and Servicing Agreement, each such assignment shall be delivered by the Custodian to the Seller for the purpose of recording it in the appropriate public office for real property records, and the Seller, at no expense to the Custodian, shall promptly cause to be recorded in the appropriate public office for real property records each such assignment of Mortgage and, upon receipt thereof from such public office, shall return each such assignment of Mortgage to the Custodian.

If any Mortgage File includes one or more assignments of Mortgage that have not been recorded pursuant to and the provisions of Section 2.01 of related Mortgage Loan is not a MERS Loan or the Pooling and Servicing Agreement and Custodian has not received written instructions from the Seller or the Trustee that the related Mortgaged Properties are located in jurisdictions specifically excluded by under the Opinion laws of Counsel delivered which the recordation of such assignment is not necessary to protect the Trustee pursuant to Section 2.01 of the Pooling and Servicing AgreementTrustee’s interest therein, each such assignment shall be delivered by the Custodian to the Seller for the purpose of recording it in the appropriate public office for real property records, and the Seller, at no expense to the Custodian, shall promptly cause to be recorded in the appropriate public office for real property records each such assignment of Mortgage and, upon receipt thereof from such public office, shall return each such assignment of Mortgage to the Custodian.
