Recordation and Filing. On or before the Closing Date (except as expressly stated below), the Lessee shall have caused the Lease, the Lease Supplement, the Indenture and the Indenture Supplement (each in respect of Units delivered on the Closing Date), the Collateral Agency Agreement in respect of the Pledged Units delivered on the Closing Date, the Pledged Equipment Xxxx of Sale, the TRLTII Pledged Equipment Assignment, the TRLTII Xxxx of Sale, the Xxxx of Sale, the TRLTII Assignment and the Assignment to be duly filed, recorded and deposited in memorandum form with the STB in conformity with 49 U.S.C. Section 11301 and with the Registrar General of Canada pursuant to Section 105 of the Canada Transportation Act, and all necessary actions shall have been taken to cause publication of notice of such deposit in The Canada Gazette in accordance with said Section 105 and all appropriate Uniform Commercial Code financing statements and Personal Property Security Act filings in respect of the interests of the Owner Trustee, Collateral Agent and Indenture Trustee under the Operative Agreements to be delivered on the Closing Date and to be filed where necessary or reasonably advisable within 10 days after the Closing Date, and the Lessee shall furnish the Indenture Trustee, the Policy Provider, the Owner Trustee, the Collateral Agent and each Participant proof thereof. Without limiting the representations and warranties set forth in any Operative Agreement, by such recording or filing of the Lease (or a financing statement or similar notice thereof), the Owner Trustee and the Lessee are not acknowledging or implying that the Lease constitutes a "security agreement" or creates a "security interest" within the meaning of the Uniform Commercial Code in any applicable jurisdiction.
Recordation and Filing. The Town shall file this Trust Agreement (or a memorandum thereof or a financing statement with respect thereto), and all such documents as may be required by law (and shall take all further actions which may be necessary or be reasonably required by the Trustee), all in such manner, at such times and in such places as may be required by law in order fully to preserve, protect and perfect the security of the Trustee and the Owners.
Recordation and Filing. The General Partner or any Person designated by the General Partner shall have the power to execute, file and record any and all certificates, notices, statements and other documents required under the Act or any other applicable law of any jurisdiction where the Partnership maintains an office or does business. At the request of the General Partner, each Limited Partner shall execute, acknowledge, swear to, and deliver all certificates and other instruments conforming with this Agreement that are necessary or appropriate to qualify, continue, and terminate the Partnership as a foreign entity in all such jurisdictions in which the Partnership may conduct business, provided that no Limited Partner shall be required to file any general consent to service of process or to qualify as a foreign corporation, limited liability company, partnership or other entity in any jurisdiction in which it is not already so qualified.
Recordation and Filing. The Memorandum of Facility Lease and Memorandum of Site Lease have been duly recorded and are in a form sufficient to provide notice of the interests purported to be created by the Facility Lease and Site Lease, respectively. Upon the recordation of the Memorandum of Site Lease in the county in which the Site is located, the Memorandum of Site Lease will have been recorded or filed in such place in which recording or filing is required to provide notice, under Applicable Law, of the interests created by the Site Lease and to protect the validity and effectiveness thereof, and all Taxes, fees and other public charges payable in connection with the filing and recordation of the Memorandum of Site Lease have been paid. Upon the recordation of the Memorandum of Facility Lease in the county where the Facility is located, the Memorandum of Facility Lease will have been recorded or filed in such place in which recording or filing is required to provide notice, under Applicable Law, of the interests created by such Facility Lease and to protect the validity and effectiveness thereof, and all Taxes, fees and other public charges payable in connection with the filing and recordation of the Memorandum of Facility Lease have been paid.
Recordation and Filing. The City will record, or cause to be recorded, with the appropriate county recorder, the Lease Agreement, the Ground Lease and the Assignment Agreement, or memoranda thereof.
Recordation and Filing. The Company, at the Company's expense, shall cause any UCC Financing Statements, including all necessary amendments, supplements and continuation and correction statements, to be recorded, registered and filed, and to be kept recorded, registered and filed, in such manner and in such places as may be required to establish, perfect, preserve and protect the lien, pledge and security interest of this Security Agreement as a good and valid perfected lien on and security interest in all property and interests therein included in the Collateral (together with, without limitation, any such property and interests acquired after the execution hereof). The Company hereby irrevocably appoints the Director as the Company's agent and attorney-in-fact to file and, if necessary, sign or acknowledge all such UCC Financing Statements, amendments to UCC Financing Statements, continuation and correction statements with respect to UCC Financing Statements and other documents for recording, registering and filing.
Recordation and Filing. The Security Agreement, Security Agreement Supplement No.1, and the FAA Xxxx of Sale relating to the Aircraft will have been duly filed for recordation (or shall be in the process of being so duly filed) pursuant to and in accordance with the Federal Aviation Code. Application for registration of the Aircraft in the name of the Borrower shall have been duly made with the FAA. A Uniform Commercial Code financing statement or statements covering the security interest created by the Security Agreement shall have been executed and delivered by the Borrower, as debtor, and by the Security Trustee, as secured party, and such financing statement or statements shall have been duly filed in all places necessary within the State of New York (and all other applicable jurisdictions, if any) (and evidence thereof, reasonably satisfactory to the Lender, shall have been provided to the Lender). --------- * Confidential 15 On the Borrowing Date, the Aircraft shall have been duly certified as to airworthiness by the Brazilian aviation authority.
Recordation and Filing. The Company hereby covenants and agrees that it will cause the Indenture and this Agreement, such security agreements, financing statements and all supplements thereto and other instruments as may be required from time to time to be kept, recorded and filed in such manner and in such places as may be required by law in order to fully preserve and protect the security of the owners of the Bonds and the rights of the Trustee under such instruments, and to perfect the security interest created by the Indenture.
Recordation and Filing. Each of the documents and instruments identified on SCHEDULE 3.11(B) shall have been recorded or filed in the respective places or offices set forth in SCHEDULE 3.11(B), and all recording and filing fees with respect thereto shall have been paid.

The District shall record and file the Lease or a memorandum thereof, the Site Lease, the Assignment Agreement and all such documents as may be required by law (and shall take all further actions which may be necessary or be reasonably required by the Trustee), all in such manner, at such times and in such places as may be required by law in order fully to preserve, protect and perfect the security of the Trustee, the Certificate Insurer and the Certificate Owners.
