The Adviser will maintain all books and records with respect to the Trust’s securities transactions required by the 1940 Act and rules thereunder (other than those records being maintained by the Trust’s administrator, custodian or transfer agent) and preserve such records for the periods prescribed therefore.

Record Keeping and Reports. (a) The Adviser will maintain all books and records with respect to the Fund's securities transactions required by sub-paragraphs (b)(5), (6), (9) and (10) and paragraph (f) of Rule 31a-1 under the Investment Company Act (other than those records being maintained by the Fund's administrator, custodian or transfer agent) and preserve such records for the periods prescribed therefore by Rule 31a-2 of the Investment Company Act.
Record Keeping and Reports. Subject to the provisions of this Agreement, the Master Custodial Administration Agreement Administrator, Custodian and/or Plan Administrator shall maintain such records as may be necessary for the proper administration of the Custodial Account. Record Keeping and Reports. Fulcrum shall keep and maintain books, records, accounts and other documents necessary to accurately reflect the services performed pursuant to this Agreement in accordance with good business practices, and generally accepted accounting principles. Fulcrum shall prepare and distribute to Texoga such ERCOT information, as well as reports regarding operational and contractual matters with respect to Texoga, as reasonably required by Texoga. All records and accounts maintained by Fulcrum on behalf of Texoga pursuant to this Agreement shall be made available by Fulcrum for inspection and copying by Texoga and its representatives upon reasonable advance notice of seven (7) Business Days, and Fulcrum shall keep and preserve all such records and accounts for a period of at least two (2) years from and after the close of the calendar year in which the events or transactions recorded therein occurred.

Record Keeping and Reports. Zai Lab will prepare and maintain, and will cause each of its Affiliates and any licensees or sublicensees to prepare and maintain, appropriate records (in accordance with its standard policies and procedures) regarding the Development and Commercialization of Compounds and/or Products. During the Term hereof, Zai Lab will provide GSK with annual reports setting forth (i) a summary of updated development progress and achievements of such Development and Commercialization tasks as set forth in the Development Plan and a listing of any Regulatory Approvals achieved for Products in the Territory, (ii), information relating to any Zai Lab’s sublicensing under or assignment of this Agreement. Upon GSK’s request at any time during the Term hereof, Zai Lab shall provide to GSK a complete list of its licensees and sublicensees of Transferred Know-How and Licensed Patents, as well as a true and complete copy of each license agreement and sublicense agreement (as the case may be) and each amendments thereto within three (3) days after the notification. Any and all such reports (and all data and information set forth therein), lists and agreements shall be considered Zai Lab’s Confidential Information and shall be subject to the confidentiality and use restrictions under this Agreement.

Record Keeping and Reports. 5.1 LICENSEE agrees to keep accurate records in sufficient detail to enable the royalties payable by LICENSEE to LICENSOR hereunder to be determined, and agrees to permit said records to be examined from time to time during the life of this Agreement, and for one (1) year after the expiration and termination of this Agreement, at reasonable intervals (but not more than once per calendar year) by an independent auditor mutually agreeable to the parties, during normal business hours, and to the extent necessary to verify the reports and payments required hereunder. Such auditor shall only disclose to LICENSOR whether or not royalties payable hereunder have been accurately computed and paid, and no other information. In the event any such audit reveals an underpayment, LICENSEE shall promptly remit the deficiency to LICENSOR. In the event any such audit reveals an overpayment, the excess shall be credited against any future payments due to LICENSOR hereunder.
