Receipt of the Purchase Price. Purchaser shall have (A) paid to Seller or deposited with Escrow Agent with written direction to disburse the same to Seller, the Purchase Price (as adjusted pursuant to Section 3.1), and (B) delivered written direction to Escrow Agent to disburse the Xxxxxxx Money to Seller.
Receipt of the Purchase Price. The Company shall receive at or substantially simultaneously with the Closing, the Purchase Price from the Purchaser as required by Section 2.4.
Receipt of the Purchase Price. The Company shall receive at or substantially simultaneously with the Closing, the Purchase Price of the Purchaser set forth on the signature page hereto.
Receipt of the Purchase Price. The Company shall have received the Purchase Price from each Purchaser as set forth on Schedule 1 hereto (less the applicable pro rata portion of the Purchasers’ Expenses).
Receipt of the Purchase Price. Purchaser shall have deposited with the Escrow Agent the Purchase Price (as adjusted pursuant to Section 3.4) and the Xxxxxxx Money and Seller has received from Escrow Agent confirmation that Escrow Agent is prepared to release and pay the Purchase Price (as adjusted pursuant to Section 3.4) and the Xxxxxxx Money to Seller in accordance with Seller’s written instructions to Escrow Agent (provided that Seller may not terminate this Agreement as a result of the failure of this closing condition if Seller is in default under this Agreement pursuant to the terms of Section 12.1).
Receipt of the Purchase Price. The Company shall receive at or substantially simultaneously with the Closing, the Purchase Price of each Purchaser set forth on Schedule 1 hereto (less all of the Purchasers’ Expenses).
Receipt of the Purchase Price. The Purchaser shall have paid to the Seller or deposited with Escrow Agent with irrevocable written direction to disburse the same to the Seller, the Purchase Price (as adjusted for Adjustments pursuant to Article 9).

Receipt of the Purchase Price. 9. A copy of the duly signed Acceptance Certificate and Effective Time Acknowledgement (as defined in the Novation Agreement).
