REASONS FOR AGREEMENT. I desire to volunteer or to continue to volunteer with the Red Cross. I acknowledge that I may, in the course of my service to the Red Cross (“Volunteer Service”), have access to or create (alone or with others) confidential and/or proprietary information and intellectual property that is of value to Red Cross. I understand that this makes my position one of trust and confidence. I understand Red Cross’ need to limit disclosure and use of confidential and/or proprietary information and intellectual property. I understand that all restrictions are for the purpose of enabling Red Cross to fulfill its humanitarian mission, to maintain donors, customers and clients, to develop and maintain new or unique products and processes, to protect the integrity and future of Red Cross and to protect the employment and volunteer opportunities of the Red Cross. (a) The Company operates a service which aggregates and distributes various types of content obtained from third parties ("Content Providers") through the IP networks and related facilities of Internet service providers such as BellSouth to Internet users. The activities of the Company described above, including any relevant Web site(s) relating thereto (as the same may be customized by the Company as provided in this Agreement), in order to distribute such content to BellSouth's Internet users, together with such content, are hereinafter collectively referred to as the "Company's Service".

Bride and Groom each expressly acknowledges that this Agreement is not entered into for the purpose of facilitating a separation or dissolution of their marriage to each other, but is entered into for the purpose of preventing strife, settling questions of marital rights and property, and enhancing the prospects of marital harmony.
REASONS FOR AGREEMENT. During the course of my employment with the Company, I will be given access to Trade Secrets and Confidential Information. Maintaining the secrecy of this information is essential for carrying out the Company’s business in a highly competitive industry. I may also create, improve, or maintain goodwill with the Company’s customers and business partners. The Company will provide me with formal and informal training related to the Company, its products, and its processes. In addition, while I am employed by the Company I may invent, create and review inventions and copyrightable material. It is essential that the Company be assured of its rights with respect to inventions, copyrightable material, and similar intellectual property. Consideration I am entering this Agreement in consideration of one or more of (i) my new or continuing employment with the Company, (ii) my access to Trade Secrets, (iii) the training which I have and will receive from the Company; and (iv) any cash or equity grant under any Company incentive plan.
