Reasonable Limitations. Executive acknowledges that given the nature of the Company's business the covenants contained in this Article V contain reasonable limitations as to time, geographical area and scope of activity to be restrained, and do not impose a greater restraint than is necessary to protect and preserve the Company's business and to protect the Company's legitimate business interests. If, however, this Article V is determined by any court of competent jurisdiction or any arbitrator to be unenforceable by reason of its extending for too long a period of time or over too large a geographic area or by reason of its being too extensive in any other respect, or for any other reason, it will be interpreted to extend only over the longest period of time for which it may be enforceable and/or over the largest geographical area as to which it may be enforceable and/or to the maximum extent in all other aspects as to which it may be enforceable, all as determined by such court or arbitrator in such action.

Reasonable Limitations. Given the important nature of the position the Employee will hold with the Employer, the nature of the Employer's Business and the sensitive nature of the Confidential Information and duties the Employee will have with the Employer, the parties acknowledge that the limitations, including but not limited to, the scope of activities prohibited, the geographic area covered and the time limitation, are reasonable. In the event of an actual or threatened breach by the Employee of the provisions of paragraphs 8 and 9 of this Agreement, the Employer shall be entitled to a temporary restraining order and an injunction restraining the Employee from such breach. Nothing herein, however, shall be construed as prohibiting the Employer from pursuing any other remedies available to it for such actual or threatened breach, including, without limitation, the recovery of damages and reasonable attorneys' and paralegals' fees and costs from the Employee. If the Employee violates any of the covenants in paragraphs 8 and 9 of this Agreement, the term and the covenant violated shall be automatically extended for the period of time of the violation, either from the date on which the Employee ceases such violation or from the date of the entry by a court of competent jurisdiction of an order or judgment enforcing such covenants, whichever period is later.
