Common use of Reasonable Assistance Clause in Contracts

Reasonable Assistance. The Party not enforcing or defending Sutro Patents, Product Patents, Sutro Platform Patents or Joint Patents, as applicable, shall provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s reimbursement of any reasonable Out-of-Pocket Expenses incurred on an on-going basis by the non-enforcing or non-defending Party in providing such assistance.

Reasonable Assistance. The Party not enforcing or defending Sutro Patents, Product Patents, Sutro Platform Licensor Patents or Joint Patents, as applicable, Patents shall provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s reimbursement of any reasonable Out-of-Pocket Expenses incurred on an on-going basis by the non-enforcing or non-defending Party in providing such assistance.

Reasonable Assistance. The Party not enforcing or defending Sutro Patents, Product Patents, Sutro Platform Patents any Licensed Technology or Joint Patents, as applicable, Trademark shall provide reasonable assistance to the other Party, as may be reasonably requested by the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s reimbursement of any reasonable Out-of-Pocket Expenses costs and expenses incurred on an on-going basis by the non-enforcing or non-defending Party in providing such assistance.

The Party not enforcing or defending Sutro Patents, Product Patents, Sutro Platform Collaboration Patents or Joint Patents, as applicable, shall provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s reimbursement of any reasonable Outout-of-Pocket Expenses pocket expenses incurred on an on-on- going basis by the non-enforcing or non-defending Party in providing such assistance.

The Party not enforcing or defending Sutro Patents, Product Patents, Sutro Platform Sublicensor Patents or Joint Patents, as applicable, shall provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s 's reimbursement of any reasonable Outout-of-Pocket Expenses pocket expenses incurred on an on-going basis by the non-enforcing nonenforcing or non-defending Party in providing such assistance.

The Party not enforcing or defending Sutro Patents, Product Patents, Sutro Platform Specific Patents or Joint Patents, as applicable, shall provide reasonable assistance to the other Party, including reasonably providing access to relevant documents and other evidence and making its employees or representatives available, subject to the other Party’s reimbursement of any reasonable Out-of-Pocket Expenses incurred on an on-going basis by the non-enforcing or non-defending Party in providing such assistance.

The Party not enforcing or defending Sutro Patents, Product Patents, Sutro Platform Selecta Patents or Joint Patents, as applicable, Patents shall provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s reimbursement of any reasonable Out-out- of-Pocket Expenses pocket expenses incurred on an on-going basis by the non-enforcing or non-defending Party in providing such assistance.
