Common use of Reasonable Assistance Clause in Contracts

Reasonable Assistance. The Party not taking an Enforcement Action shall provide reasonable assistance to the other Party, including providing access to relevant documents and other evidence and making its employees available, subject to the other Party’s (or the other Party’s Affiliate’s) reimbursement of any Out-of-Pocket Expenses incurred by the non-enforcing or non-defending Party in providing such assistance.
