Common use of Reading Down Clause in Contracts

Reading Down. If a provision of this Agreement is reasonably capable of an interpretation which would make that provision valid, lawful and enforceable and an alternative interpretation that would make it unenforceable, illegal, invalid or void then, so far as is possible, that provision will be interpreted or construed to be limited and read down to the extent necessary to make it valid and enforceable.

Reading Down. If a provision of this Agreement is reasonably capable of an interpretation which would make that provision valid, lawful valid and enforceable and an alternative interpretation that would make it unenforceablevoid, illegal, invalid or void thenotherwise unenforceable, then that provision shall be interpreted, so far as is possible, that provision will be interpreted or construed to be limited and read down to the extent necessary to make it valid and enforceable.

Reading Down. If a provision of this Agreement is reasonably capable of an interpretation which would make that provision valid, lawful valid and enforceable and an alternative interpretation that would make it unenforceable, illegal, invalid or void then, so far as is possible, that provision will be interpreted or construed construed, taking into account (i) the objectives, scope and purposes set out in clause 2 of the Strategic Relationship Umbrella Agreement; and (ii) the fact that the commercial intentions of this Agreement are based on symmetry and balance among the Parties, to be limited and read down to the extent necessary to make it valid and enforceable.

If a provision of this Agreement is reasonably capable of an interpretation which would make that provision valid, lawful valid and enforceable and an alternative interpretation that would make it unenforceable, illegal, invalid or void then, so far as is possible, that provision will be interpreted or construed construed, taking into account (i) the objectives, scope and purposes set forth in clause 2; and (ii) the fact that the commercial intentions of this Agreement are based on symmetry and balance among the Parties, to be limited and read down to the extent necessary to make it valid and enforceable.
