Rating Letters. A Responsible Officer’s certificate of the Issuer to the effect that attached thereto is a true and correct copy of a letter signed by each Rating Agency, as applicable, and confirming that each Class of Notes has been assigned the applicable Initial Rating and that such ratings are in effect on the Closing Date.

Rating Letters. To the extent receipt of a rating letter is a condition to the issuance of any Certificates as provided in the Series Certificate Agreement, a favorable letter from the Rating Agency.

Any fees of Xxxxx’x, Standard & Poor’s, Fitch and any Rating 91 Agency in connection with the delivery of such letters shall have been paid by or on behalf of ABRCF.
