Quotation and Maintenance Requirements. KMI is, and has no reason to believe that it will not in the foreseeable future continue to be, in compliance with the quotation and maintenance requirements for continued quotation of KMI Stock on the trading market on which the shares of KMI Stock are currently quoted. The issuance and sale of the shares of KMI Stock under this A&R Agreement does not contravene the rules and regulations of the trading market on which KMI Stock are currently quoted, and no approval of the stockholders of KMI is required for KMI to issue and deliver to the Shareholders KMI Stock which shall be newly issued and non-assessable contemplated by this A&R Agreement.

Cala Energy is, and has no reason to believe that it will not in the foreseeable future continue to be, in compliance with the requirements for continued quotation of the Cala Energy Stock on the trading market on which the Cala Energy Stock is currently quoted. The issuance and sale of the Shares under this Agreement does not contravene the rules and regulations of the trading market on which the Cala Energy Stock are currently quoted, and no approval of the stockholders of Cala Energy is required for Cala Energy to issue and deliver to the Shareholders the Shares contemplated by this Agreement.

Smack is, and has no reason to believe that it will not in the foreseeable future continue to be, in compliance with the requirements for continued quotation of the capital stock of Smack on the trading market on which the capital stock of Smack is currently quoted. The issuance and sale of the Smack Shares under this Agreement does not contravene the rules and regulations of the trading market on which the capital stock of Smack are currently quoted, and no approval of the stockholders of Smack is required for Smack to issue and deliver to the Shareholders the Smack Shares contemplated by this Agreement.
Quotation and Maintenance Requirements. Company’s common stock is currently quoted on the OTC Pink Market tier maintained by OTC Markets Group, Inc. (“OTC”) under the symbol “NECA”, and Company has not, in the 24 months preceding the date hereof, received any notice from the OTC or FINRA or any trading platform on which the common stock is or has been traded or quoted to the effect that Company is not in compliance with the quoting, listing or maintenance requirements of the OTC or such other trading market. Company is, and has no reason to believe that it will not, in the foreseeable future, continue to be in compliance with all such quoting, listing and maintenance requirements.
