Quality Inspection. (A) Vendor shall inspect Goods and/or Services as to measurements, tolerances, limitations and other parameters specified on any drawings, plans or instructions covering such Goods and/or Services (collectively, "Specifications") and shall conduct such tests as are required by Specifications. Vendor shall ensure that Goods and/or Services meet or exceed all applicable government, industry and trade association standards, other Buyer quality standards and Vendor's own internal quality standards (collectively, "Quality Standards"). No changes to any Specifications or Quality Standards shall be valid unless set forth in a binding change order and Vendor shall not be excused from compliance based on oral agreements not subject to a binding change order. No substitutions of materials, processes or accessories affecting product quality shall be made except pursuant to a binding change order. Unless Buyer directs otherwise, all material incorporated into the Goods and/or Services shall be new. (B) All Goods and/or Services are subject to Buyer's inspection, testing, and approval, both at Vendor's plant and at Buyer's point of destination. Buyer reserves the right to reject any Goods and/or Services which do not comply with the terms of this Purchase Order. Acceptance, payment, use, or resale of the Goods and/or Services by Buyer shall not release Vendor of any Vendor obligation, representation, or warranty hereunder. Payment for any Goods and/or Services shall not be deemed an acceptance thereof.

Quality Inspection. SIIPL will have the right to inspect Novavax’ facilities, offices, or other properties used or utilized for the manufacture, storage, handling, and shipping of Vaccine Components pursuant to the Quality Agreements [***] at [***] sole expense. All such audits will occur with [***] notice (but no less than [***) on Novavax’ premises during Novavax’ normal business hours. If Novavax uses any contract manufacturer(s) to satisfy its obligations under this Agreement, Novavax will provide its quality inspection reports for such contract manufacturer(s) upon request from SIIPL.
Quality Inspection. Seller shall maintain a Quality Management, inspection, and documentation system acceptable to Buyer covering the goods furnished hereunder. Buyer (and if a Government contract number or other identification appears on the P.O., the Government) shall have the right to inspect the goods supplied hereunder at any time during the manufacture or fabrication thereof at Seller’s facility or elsewhere as requested. Such inspection may include, without limitation, raw materials, components, work in process, and completed products as well as drawings, specifications, work instructions, quality assurance documentation, and released data. Final inspection and acceptance shall be after delivery to the delivery point designated by the Buyer. If any inspection or test by Buyer at Seller’s facility or elsewhere, is required by Buyer, Seller shall provide reasonable facilities and assistance for the inspection personnel. Buyer may reject all goods supplied hereunder, which are found to be defective. Goods so rejected may be returned to Seller at Seller’s expense. No inspection, examination or test, regardless of extensiveness or type, and no approval given in connection with any such inspection, examination or test, whether by Buyer or the Government and whether under the Contract or another Contract for the same or similar goods, shall relieve Seller, or be claimed by Seller to relieve it, of any obligation to comply fully with all requirements of the Contract, including the obligation to produce goods that conform to all requirements of the drawings, specifications and other Contract documents. At Buyer’s request, Seller shall repair or replace defective goods at Seller’s expense. Failure to inspect goods, failure to discover defects in goods or payment for goods shall not constitute acceptance of goods or limit any of Buyer’s rights, including without limitation those under the “Warranty” provisions of the Contract. In the event inspection reveals a defect, and schedule urgency requires that the defect or defects be corrected by Buyer to support production, all cost of such correction, including without limitation, installation and removal, will be charged to Seller; such charges will also include time and material and appropriate indirect and overhead expenses, with right of offset retained.
Quality Inspection. 7.1 SUPPLIER shall perform and document all necessary inspections during the production process until the Products leave the factory (according to the control plan submitted at PPAP) (see IATF 16949: 2016, § 8.5.1.1). Since the relevant inspections are only performed at SUPPLIER, SONCEBOZ may perform an incoming inspection only with respect to the delivery documents, Product identification, quantities, and possible damage during transportation. However, SONCEBOZ shall have no obligation to inspect Products.
Quality Inspection. At Maxim’s request and with reasonable prior notice, Supplier shall allow Maxim to inspect the Plant and the Services. If Supplier becomes aware of material issues related to (i) a functional problem, (ii) a Specification deviation, or (iii) a performance deficiency, Supplier shall immediately notify Maxim thereof.
Quality Inspection. Endwave shall deliver defect free parts in accordance with the quality requirements, guidelines and standards set forth in clause 8 of this appendix. The LOCAL BUYER is entitled to perform incoming quality inspection on the part(s) before they are received to the consigned inventory and to return defected part(s)

Quality Inspection. Goods shall be subject to Buyer's reasonable inspection and approval. Inspection may take place at any time and at any place as designated by Buyer. Buyer shall have a reasonable time, but not less than six (6) months, within which to reject or revoke acceptance of any goods or services. Buyer reserves the right to refuse any goods or services and to cancel all or any part of the Purchase Order if Seller fails to deliver any part of the goods or services in accordance with the Purchase Order or if Seller fails to perform in compliance with the Purchase Order. Goods rejected at the delivery address will be held for Seller's instructions, and Xxxxx's reasonable expenses incurred in connection therewith shall be for Seller's account. Goods rejected at Seller's location will be reworked to meet Xxxxx's expectations as specified in the Purchase Order. Xxxxx's failure to inspect shall not constitute a waiver of any of Buyer's rights or remedies or relieve Seller of any of its obligations under the Purchase Order. Buyer's inspection of goods shall not constitute acceptance of such goods. Title to the goods shall pass to Buyer at such time as Xxxxx takes actual possession of the goods at the delivery address. Seller shall be liable and pay for all costs of transporting the goods to the delivery address and shall bear all risk of loss of, or damage to, the goods from any cause whatsoever until Buyer takes actual possession at the delivery address. All goods designated for international delivery shall be shipped on the basis of and in accordance with such of the then most recently published Incoterms as conform to the preceding two sentences hereof.
