Qualifications To Do Business. The Borrower and each of its Subsidiaries shall qualify to do business and shall remain in good standing in each jurisdiction in which the nature of their business requires them to be so qualified, except where the failure to so qualify could not have a Material Adverse Effect.

The Company is qualified to do business and is in good standing in each jurisdiction (listed on Schedule 3.4 to this Agreement) where the character or location of property owned and leased, the employment of personnel or the nature of the business and activities conducted by the Company, as the case may be, require such qualification, licensing or domestication, except in such jurisdictions where the failure to be so qualified, licensed or domesticated and to be in good standing, individually or in the aggregate, would not have a Material Adverse Effect. Except as set forth on Schedule 3.4, the Company does not file franchise, income or other tax returns in any jurisdiction based upon the ownership or use of property therein or the derivation of income therefrom.

If at any time during the term of this Agreement GRANTEE, for any reason, becomes disqualified from conducting business in the State of Ohio, GRANTEE will immediately notify the Attorney General in writing and will immediately cease performance of the Work.

If at any time during the term of this Agreement Contractor, for any reason, becomes disqualified from performing the work on the Plugging Project or from conducting business in the State of Ohio, Contractor shall immediately notify Landowner and ODNR in writing and will immediately cease performance of the Plugging Project.

Qualifications To Do Business. Prior to conducting any business in any jurisdiction, the Managing General Partner shall either cause the Partnership to comply with all requirements for the qualification of the partnership to conduct business as a limited partnership in such jurisdiction or to conduct business in such jurisdiction, through other partnerships through the Managing General Partner as its agent or by such other means as the Managing General Partner, upon the advice of counsel, deems appropriate in order to preserve the limited liability of the Limited Partner to the fullest possible extent.

The Managing Member shall cause the Company to comply with all requirements necessary to qualify the Company as a foreign limited liability company in any other U.S. state jurisdictions if that U.S. state jurisdiction requires such qualification. At the request of the Managing Member, each Member shall execute, acknowledge, swear to, and deliver all certificates and other instruments conforming with this Agreement that are necessary or appropriate to qualify, continue, and terminate the Company as a foreign limited liability company in all such U.S. state jurisdictions in which the Company may conduct business.
