Common use of Qualification in Other Jurisdictions Clause in Contracts

Qualification in Other Jurisdictions. The General Partner shall cause the Partnership to be qualified or registered under applicable laws in such states as may be appropriate to avoid any material adverse effect on the business of the Partnership and shall be authorized to execute, deliver and file any certificates and documents necessary to effect such qualification or registration, including without limitation the appointment of agents for service of process in such jurisdictions.

Qualification in Other Jurisdictions. The General Partner shall may cause the Partnership to be qualified or registered under applicable laws in such states as may be the General Partner determines appropriate in its sole and absolute discretion to avoid any material adverse effect on the business of the Partnership and shall be authorized to execute, deliver and file any certificates and documents necessary to effect such qualification or registration, including without limitation the appointment of agents for service of process in such jurisdictions.

Qualification in Other Jurisdictions. The General Partner shall may cause the Partnership to be qualified or registered under applicable laws in such states as may be appropriate to avoid any material adverse effect on the business of jurisdiction in which the Partnership transacts business and shall be authorized to execute, deliver and file any certificates and documents necessary to effect such qualification or registration, including without limitation the appointment of agents for service of process in such jurisdictions.

The General Partner shall cause the Partnership to be qualified qualified, formed or registered under applicable assumed or fictitious name statutes or similar laws in such states as may be appropriate to avoid any material adverse effect on the business of jurisdiction in which the Partnership and transacts business. The General Partner shall be authorized have the power to execute, deliver and file any certificates (and documents any amendments and/or restatements thereof) necessary for the Partnership to effect such qualification or registration, including without limitation qualify to do business in a jurisdiction in which the appointment of agents for service of process in such jurisdictionsPartnership may wish to conduct business.

The General Partner shall cause the Partnership to be qualified or registered under applicable laws of any jurisdiction in such states as may be appropriate to avoid any material adverse effect on the business of which the Partnership transacts business and shall be authorized to execute, deliver and file any certificates and documents necessary to effect such qualification or registration, including without limitation limitation, the appointment of agents for service of process in such jurisdictions.

The General Partner shall may cause the Investment Partnership to be qualified or registered under applicable laws in such states as may be the General Partner determines appropriate to avoid any material adverse effect on the business of the Investment Partnership and shall be authorized to execute, deliver and file any certificates and documents necessary to effect such qualification or registration, including without limitation the appointment of agents for service of process in such jurisdictions.

Qualification in Other Jurisdictions. The General Partner shall execute, deliver and file certificates (and any amendments and/or restatements thereof) necessary under Applicable Law for the Partnership to qualify to do business in the jurisdictions in which the Partnership may wish to conduct business. In those jurisdictions in which the Partnership may wish to conduct business in which qualification or registration under assumed or fictitious names is required or desirable, the General Partner shall cause the Partnership to be so qualified or registered under applicable laws in such states as may be appropriate to avoid any material adverse effect on the business of the Partnership and shall be authorized to execute, deliver and file any certificates and documents necessary to effect such qualification or registration, including without limitation the appointment of agents for service of process in such jurisdictionscompliance with Applicable Law.
