Purchase of Goods or Services. To the extent that Borrower obtains, or causes to be obtained, goods, materials, supplies, or services (“Goods or Services”), it shall do so at costs, amounts, and terms that do not exceed reasonable and necessary levels and those customarily paid in the vicinity of the Land for Goods or Services received. The purchase price of Goods or Services shall be based on quality, durability, and scope of work.
Purchase of Goods or Services. INTERPRETATION In these conditions the following words shall have the following meanings Agreement - means the contract formed as a result of the Supplier's unconditional acceptance of the Order for the sale and purchase of the Goods and/or the supply and acquisition of the Services and includes any special terms & conditions agreed in writing between the Company and the Supplier, any terms set out in the Order and these Conditions; Charges - means the charges for the Goods and Services as stated in an Order; Company - means the RSPB or RSPB Sales Limited of Xxx Xxxxx, Xxxxx, Bedfordshire SG19 2DL (the RSPB) or any of its Subsidiaries or Holding Companies as stated on the Order; Conditions - means the standard terms & conditions of purchase set out in this document and (unless the context otherwise requires) includes any special conditions agreed in writing between the Company and the Supplier; Data Protection Law - means all applicable legislation protecting the fundamental rights and freedoms of individuals in relation to their personal data and right to privacy (including, but not limited to, the GDPR and the Data Protection Act 2018) as amended and updated from time to time; GDPR - means the General Data Protection Regulation (2016/679) and ‘Articles’ refers to the articles of the GDPR. The terms “personal data”, “data subject”, “processor”, “controller”, “processing”, “personal data breach”, “pseudonymisation”, “special categories of data” and “supervisory authority” have the meanings set out in Article 4 of the GDPR; Goods - means the goods if any (including any of them or part of them and including their packaging) described in the Order; Holding Company - has the meaning given in s.1159 and Schedule 6 of the Companies Xxx 0000; Intellectual Property Rights - means (i) patents, designs, trade-marks and trade names (whether registered or unregistered), copyright and related rights, database rights, know-how and confidential information; (ii) all other rights of a similar nature or having an equivalent effect which currently exist anywhere in the world, or are recognised in the future; and (iii) applications, extensions and renewals in relation to any of these rights; Order - means the Company's authorised purchase order form, which includes a description of the Goods or Services (as applicable), the Charges and any terms applying to the supply of Goods or Services which are additional to these Conditions; Personnel - means any director, officer, empl...

Purchase of Goods or Services. Consistent with Program Obligations, toTo the extent that Borrower obtains, or causes to be obtained, goods, materials, supplies, or services (“Goods or Services”), it shall do so at costs, amounts, and terms that do not exceed reasonable and necessary levels and those customarily paid in the vicinity of the Land for Goods or Services received. The purchase price of Goods or Services shall be based on quality, durability, and scope of work. Reasonable Operating Expenses do not include amounts paid for betterments as defined in the Property Jurisdiction or the Improvements unless determined by HUD to be prudent and appropriate. Borrower shall keep copies of all written cost estimates and contracts or other instruments relating to the Project, all or any of which may be subject to inspection and examination by HUD or its representatives at the Project or other mutually agreeable location.

  • Description of Goods or Services and Additional Terms and Conditions The Contractor shall perform as set forth in Exhibit A. For purposes of this Contract, to perform and the performance in Exhibit A is referred to as “Perform” and the “Performance.”

Arbitration Any claim, dispute, or controversy (“Claim”) arising out of or relating in any way to: i) this Agreement; ii) the Card; iii) your acquisition of the Card; iv) your use of the Card; v) the amount of available funds in the Card Account; vi) advertisements, promotions or oral or written statements related to the Card, as well as goods or services purchased with the Card; vii) the benefits and services related to the Card; or viii) transactions on the Card, no matter how described, pleaded or styled, shall be FINALLY and EXCLUSIVELY resolved by binding individual arbitration conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. This arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (9 U.S.C. 1-16). We will pay the initial filing fee to commence arbitration and any arbitration hearing that you attend shall take place in the federal judicial district of your residence. ARBITRATION OF YOUR CLAIM IS MANDATORY AND BINDING. NEITHER PARTY WILL HAVE THE RIGHT TO LITIGATE THAT CLAIM THROUGH A COURT. IN ARBITRATION, NEITHER PARTY WILL HAVE THE RIGHT TO A JURY TRIAL OR TO ENGAGE IN DISCOVERY, EXCEPT AS PROVIDED FOR IN THE AAA CODE OF PROCEDURE. All determinations as to the scope, interpretation, enforceability and validity of this Agreement shall be made final exclusively by the arbitrator, which award shall be binding and final. NO CLASS ACTION, OR OTHER REPRESENTATIVE ACTION OR PRIVATE ATTORNEY GENERAL ACTION OR JOINDER OR CONSOLIDATION OF ANY CLAIM WITH A CLAIM OF ANOTHER PERSON OR CLASS OF CLAIMANTS SHALL BE ALLOWABLE. This arbitration provision shall survive: i) the termination of the Agreement; ii) the bankruptcy of any party; iii) any transfer, sale or assignment of the Card, or any amounts owed on the Card, to any other person or entity; or iv) expiration of the Card. If any portion of this arbitration provision is deemed invalid or unenforceable, the remaining portions shall remain in force. IF YOU DO NOT AGREE TO THE TERMS OF THIS ARBITRATION AGREEMENT, DO NOT ACTIVATE OR USE THE CARD. CALL 0-000-000-0000 TO CANCEL THE CARD AND MAKE ALTERNATE ARRANGEMENTS TO RECEIVE THE FUNDS ASSOCIATED WITH THE CARD ACCOUNT.
