Purchase and Sale of Acquired Assets. Upon the terms and subject to the conditions of this Agreement, Seller agrees to sell, assign, transfer, convey and deliver to Purchaser free and clear of all Encumbrances whatsoever (except Permitted Encumbrances), and Purchaser agrees to purchase and accept from Seller, at the Closing on the Closing Date, all of the right, title and interest of Seller, in, to and under the following assets of Seller insofar as they relate to or are used in the Business, whether tangible or intangible (collectively, the "Acquired Assets"):
