Schedule 5.15 lists all of the currently operative tariffs authorized and approved prior to the date of this Agreement by the Public Service Commission applicable to the West Virginia Gas Distribution Business and all of the currently pending rate, certificate or other filings made prior to the date of this Agreement by the Seller (with respect to the West Virginia Gas Distribution Business), the Company or the Company’s Subsidiaries before the Public Service Commission and the status of each such filing on the date of this Agreement. The West Virginia Gas Distribution Business is in compliance with all of the rules, regulations and currently operative tariffs authorized and approved by the Public Service Commission applicable to the West Virginia Gas Distribution Business and all of the currently pending rate, certificate or other filings made by the Seller (in respect of the West Virginia Gas Distribution Business), the Company or the Company’s Subsidiaries before the Public Service Commission.
