Public Certificates. A copy of a certificate of existence and good standing for the Company and each Company Subsidiary issued by the appropriate public officials of the jurisdiction of incorporation or formation of the Company and each Company Subsidiary, dated as of a recent date;
Public Certificates. A certificate of existence and good standing for Xxxxx and Xxxxx’s Subsidiary Party issued by the Secretary of State of the State of Delaware and dated as of a recent date;
Public Certificates. A copy of a certificate of good standing and existence with respect each Seller issued by the appropriate Governmental Body of its jurisdiction of formation as of a date not more than five days prior to the Closing Date;
Public Certificates. Copies of certificates of existence and good standing for each of the SeaMap Companies issued by the appropriate public officials of Singapore, the United Kingdom and the State of Texas (USA), as applicable, each dated as of a recent date;
Public Certificates. The Class 1-A1, Class 1-A2, Class 1-A3, Class 1-A4, Class 1-A5, Class 2-A, Class A-IO, Class M-1, Class M-2, Class B, Class R-1, Class R-2 and Class R-3 Certificates offered by the Prospectus.
Public Certificates. Seller shall have delivered to Buyer (i) a certificate of good standing dated no more than ten (10) Business Days prior to Closing, with respect to the Company issued by the Secretary of State of the Texas, and (ii) a certificate of good standing, dated no more than ten (10) Business Days prior to Closing, with respect to the Company’s tax status issued by the Texas Comptroller of Public Accounts.
Public Certificates. A copy of (i) a statement of Franchise Tax Account Status obtained through the website of the Office of the Comptroller of Public Accounts of Texas, which statement indicates that, as of the date thereof, each Company Group Member’s right to transact business in Texas is “active,” (ii) a Certificate of Fact for each Company Group Member issued by the Secretary of State of the State of Texas and (iii) a certificate of foreign qualification for each Company Group Member from the appropriate public officials of each of the jurisdictions listed on Schedule 6.2 and Schedule 6.5, in each such case dated as of a recent date.
Public Certificates. Copies of certificates of existence and good standing for the Sellers issued by the appropriate public officials of the states of formation, dated as of a recent date;
