Proxy Solicitation. Any Person commences a solicitation (as defined in Rule 14a-1 of the General Rules and Regulations under the Exchange Act) of proxies or consents which has the purpose of effecting or would (if successful) result in a Change in Control; or

Proxy Solicitation. Proxy Solicitation. (i) provide reasonable notice to Envestra in advance of any activities to be undertaken by or on behalf of APA to solicit proxies or votes at the Scheme Meeting and consult in good faith with Envestra regarding all material details concerning such activities (including any material communications with Envestra Shareholders); and

Corel will, at the request of, and following consultation with and approval of, Vector, retain one or more firms to act as proxy solicitation agents (the "Soliciting Agents") in connection with the Meeting to solicit proxies in favour of the Transaction. (a) Eminence shall, and shall cause each of its Affiliates to, immediately cease all efforts, direct or indirect, in furtherance of the preliminary solicitation statement filed by Eminence Capital, LLC, Eminence GP, LLC and Xxxxx X. Xxxxxxx with the Securities and Exchange Commission (the “SEC”) on November 15, 2013 (the “Solicitation Statement”) and any related solicitation of Company shareholders in connection with the Solicitation Statement.

Prior to the Termination, the Company hereby requests that the Advisor, and the Advisor shall, consistent with its obligations under the Advisory Agreement, use good faith efforts, which efforts shall be consistent with efforts historically taken by the Advisor with respect to stockholder meetings of the Company, to cooperate and provide assistance to the Company and GCEAR in soliciting proxies from stockholders of CCIT II to vote their shares of CCIT II Common Stock (as defined in the GCEAR Merger Agreement) at the Stockholders Meeting (as defined in the GCEAR Merger Agreement).
Proxy Solicitation. (a) Applicability of proxy solicitation provisions. (1) The mutual holding com- pany must comply with these proxy so- licitation provisions when the mutual holding company provides proxy solici- tation material to members for the meeting to vote on the plan of conver- sion.
