Provision of Transition Services. Commencing on the date hereof and continuing through the Term (as defined in Article 2 of this Agreement), Spinco will provide the Transition Services to AT Co., unless (a) otherwise indicated on the Service Attachment, (b) automatically modified by termination of a Transition Service by AT Co. in accordance with the terms and conditions hereof, (c) otherwise mutually agreed to by the parties in writing, or (d) this Agreement is terminated in accordance with the terms and conditions hereof.
Provision of Transition Services. (a) Provider shall use its commercially reasonable efforts to provide or cause to be provided each Transition Service from the Closing Date for the time set forth on Schedule A, except (i) as automatically modified by termination of a particular Transition Service by Buyers in accordance with this Agreement, (ii) as otherwise agreed to by the Parties in writing, or (iii) in the event of the earlier termination of this Agreement.
Provision of Transition Services. (a) Commencing on the Effective Date, Parent and its Subsidiaries (the “Service Providers”) shall provide, or cause a Third Party Service Provider to provide, to Buyer or its designated Affiliates (exclusively in connection with the operation or conduct of the Business or use of the Purchased Assets) each of the transition services and support functions set forth on Schedule A (collectively, the “Transition Services”).
Provision of Transition Services. (a) Subject to the terms and conditions set forth herein, Provider shall provide, directly or indirectly through third party contractors, subcontractors, licensors, vendors, outsourcers or other third party service providers (collectively, “Third Party Contractors”), to Recipient the Transition Services during their respective Terms; provided, that Provider shall remain responsible for the performance of the services in accordance herewith.
Provision of Transition Services. Buyer and Seller agree to execute a transition services agreement in the form reasonably agreed to by Buyer and Seller with respect to the provision of transition services reasonably requested by Buyer from and after the Closing Date. Buyer shall pay the lesser of (i) the cost being allocated to the Business at the Closing Date (adjusted as necessary to convert annualized costs to daily or monthly costs) and (ii) the cost Buyer would pay in an arms length transaction with a third party for any such service.
Provision of Transition Services. Neuromed will use Commercially Reasonable Efforts to provide, and as necessary will cause its Affiliates to provide, the Transition Services to Mallinckrodt commencing promptly after the Effective Date, as

Provision of Transition Services. TFS shall provide to, or cause to be provided to, Brillian the Transition Services as provided herein. It is understood by the parties that the scope of services to be provided under this Section 1 is expected to be substantially consistent with TFS's recent historical practice in providing the Transition Services to the Microdisplay Business unless otherwise stated in this Agreement. Subject to the limitations contemplated hereby, TFS agrees to provide, or cause to be provided, the Transition Services to Brillian in a manner consistent with the manner TFS has heretofore performed such services for the Microdisplay Business. Without limiting the generality of the Transition Services to be provided by TFS to Brillian as described in the Schedules hereto, the parties agree as follows:
Provision of Transition Services. (a) On the terms and conditions of this Agreement, Purchaser and its Subsidiaries (the “Purchaser Service Providers”) shall provide or cause a Third Party Service Provider to provide to Sellers and their Subsidiaries each of the transition services and support functions set forth on Schedule A, as reasonably required by Sellers in connection with (i) the liquidation of Sellers under the provisions of the Bankruptcy Code and (ii) the operation of Sellers in bankruptcy prior to liquidation (collectively, the “Purchaser Transition Services”). However, the Purchaser Service Providers will have no obligation to provide to any Receiving Party any type of service described on Schedule B.
Provision of Transition Services. (a) Tenant hereby engages Landlord as an independent contractor (and, for the avoidance of doubt, not as an agent of Tenant) to provide the Transition Services. The parties hereby acknowledge and agree that the personnel of Landlord and Landlord’s affiliates, or other third-parties performing Transition Services are not employees, or are not providing such Transition Services as employees, of Tenant.
