Provision of Confidential Information. Prior to the execution of this Agreement the Company has provided, and following the execution of this Agreement, the Company agrees to continue to provide, Executive with Confidential Information regarding the Company that enabled and will continue to enable Executive to optimize the performance of Executive’s duties to the Company.

Provision of Confidential Information. Irrespective of the Term of Employment, and in consideration of the Employee’s promises in Section 4.3 of this Agreement, the Employee acknowledges that the Company has provided Employee with access to Confidential Information, including (but not limited to) the new Confidential Information that the Company is separately and concurrently providing to the Employee. The Parties stipulate and agree that Employee has never before seen or had access to the new Confidential Information referenced herein.

The Company retain the right to provide the accrediting agency with any confidential information of the Client that they may require to assess the Company in establishment and maintenance of their accreditation of the Companies certification programs, provided the Accreditation Agency has agreed to keep any information provided Confidential. Where disclosure of confidential information is required in response to legal process, the client or individual concerned will be notified in advance of the information being provided.
