The "Proposed Acquisitions" clause defines the procedures and requirements that must be followed when one party intends to acquire assets, shares, or interests related to the agreement. Proposed Acquisitions. Since listing on the Main Market of Bursa Securities, the Manager has been primarily focusing on growing Atrium REIT organically through its existing portfolio of assets, all of which are located in Selangor, Malaysia. The Manager has also been actively identifying and pursuing potential acquisition targets to expand Atrium REIT’s footprint in the industrial property market. The Manager believes that the Proposed Acquisitions represent a good opportunity for Atrium REIT to expand its existing portfolio of investment properties. The Properties are located in Bayan Lepas, Pulau Pinang, which is a mature industrial estate, home to various multinational firms with close proximity to the airport and the Second Penang Bridge. Further, Property 1 is situated within the Bayan Lepas Free Industrial Zone, which is suitable for export-oriented electronic manufacturers due to tax exemptions on custom duties, taxable services and imports/exports on selected equipment and raw materials. It is also pertinent to note that the rental contribution of Property 2 is higher than Property 1 and Atrium REIT may enjoy a higher rental rate once the Greenfield Development as set out in Section 2.6.2 above is completed. As such, the Manager believes that the Properties have good prospects given the strategic location of the Properties and the scarcity of vacant industrial lots in Penang. Pursuant to the Proposed Acquisitions, the Properties will provide Atrium REIT with a stable and sustainable income stream through the Leaseback Agreements for a committed triple net lease period of 15 years augmented by a rental escalation of 3% every year.
Proposed Acquisitions. No Credit Party or Subsidiary of the Borrower will make any Acquisition except with the prior written consent of the Lenders.
Proposed Acquisitions. The Proposed Acquisitions are consistent with RSB’s plans to continue to expand its oil palm cultivation business by acquiring new plantation land bank in Malaysia, particularly in Sarawak. After the Proposed Acquisitions, the total plantation land bank owned by the RSB Group would be increased from 31,645 Ha to approximately 91,000 Ha., of which approximately 38,000 Ha. have already been planted. The enlarged plantation land bank would have a planting ratio of planted 42% and unplanted 58% areas. With the expected improvement of oil palm production yield from the plantation assets held by the Acquirees over the next few years, the RSB Group is expected to benefit from the improving revenue and profit contributions from the Acquirees. More importantly, the Proposed Acquisitions would propel the enlarged RSB Group to become one of the major palm oil plantation companies listed in Malaysia. The creation of an enlarged RSB Group would be capable of extracting greater business and cost synergies, whilst boosting the profitability and assets base. In addition, the Proposed Acquisitions would also remove various existing related party transactions, thereby improving transparency for existing shareholders. In summary, the Proposed Acquisitions represent a strategic investment by RSB and are expected to contribute positively to the earnings as well as the shareholders’ value of the RSB Group in the medium to long term.
Proposed Acquisitions. The parties hereto acknowledge and agree that the Permitted Acquisition Price for the proposed acquisitions of Precision Valley Communications Corp., Renegade Construction Corp. and U.S. Communications Corp. by an Acquisition Company shall not be counted towards the limitation on Permitted Acquisition Price set forth in Section 2.4(a)(vi) of the Credit Agreement as amended herein.
