Promotion Fund. Landlord shall establish an advertising and promotion fund (the "Fund"). The object of the Fund shall be to advertise the Retail Development in the local metropolitan statistical area and to provide a program of events, all of which shall, in Landlord's judgment, serve to enhance and promote the Retail Development and its occupants. Such program of events may include the promotion of coach traffic to the Retail Development and the development of a mall video network within the Retail Development offering a program of information, entertainment and advertisements. The Fund shall be administered by Landlord and the costs and expenses of such administration shall be charged to the Fund. Landlord shall expend all amounts paid to the Fund by the tenants in the Retail Development for the purposes herein set forth.
Promotion Fund. There shall be a United Association Promotion Fund known as the Ontario Pipe Trades Promotion Fund. The Contractor agrees to deduct from each employee the sum of 26 cents for each hour earned and shall remit same to the Local Union Administrator, who shall forward the amount to the Secretary-Treasurer of the Ontario Pipe Trades Council. Payment for the fund as outlined in this Agreement shall be made in accor- dance with the Payment of Funds procedures as outlined in each local appendix. It is understood and agreed that this fund is included in, and to be taken from, the total “gross” package offered by the MTBC.

Xxy sums paid by FRANCHISEE to the PROMOTION FUND may be used to defray SNELXXXX'X xxxinistrative costs and overhead as SNELXXXX xxx incur in activities reasonably related to the administration or direction of the PROMOTION FUND and advertising for franchisees and the SYSTEM. FRANCHISEE agrees that the PROMOTION FUND may be used to satisfy any and all costs of maintaining, administering, directing and preparing advertising (including, without limitation, the cost of preparing and conducting television, radio, magazine and newspaper advertising; campaigns; direct mail and outdoor billboard advertising; public relations activities; employing advertising agencies to assist therein; and costs and expenses of SNELXXXX'X xxxsonnel and other departmental costs related to the PROMOTION FUND). FRANCHISEE may request in writing a copy of the PROMOTION FUND's annual accounting. Personnel service businesses operated by SNELXXXX xxx using the PROPRIETARY MARKS shall contribute to the PROMOTION FUND on the same basis as franchisees. SNELXXXX xxxl direct all advertising, public relations, promotional programs, and related activities, with sole discretion over the creative concepts, materials, and media used in them and over their placement and allocation. In administering the PROMOTION FUND, SNELXXXX xxx its designees assume no obligation to spend money for FRANCHISEE in proportion to FRANCHISEE'S contribution or to ensure that any particular franchisee benefits directly or proportionally from the PROMOTION FUND. Promotion Fund. Landlord may, but shall not be obligated to establish a promotion fund to be administered by. Landlord for the promotion or *benefit of the Shopping Center (the "Promotion Fund"). The initial annual charge to Tenant for such Promotion Fund shall be seven thousand five hundred ($7,500.00). The Promotion Fund Charge shall be subject to increases as set forth below. Landlord shall give Tenant written notice of the establishment of the Promotion Fund and Tenant's Initial Promotion Fund Charge which shall be paid by Tenant M within ten (10) days of billing. After establishment of the Promotion Fund Tenant shall pay thereafter to Landlord the Promotion Fund Charge determined in accordance with this paragraph on a quarterly basis in advance during each lease year, within ten (10) days of billing. The Promotion Fund Charge shall be subject to annual adjustment increases, but not decreases, on each anniversary of the date of establishment of a the Promotion Fund in proportion to changes in the Index. Such adjustment, which shall not exceed 2.5% per year, shall be made by multiplying the Promotion Fund Charge by a fraction, the numerator of which is the value of the Index for the o calendar month one (1) month preceding the calendar month for which such adjustment is to be made, and the denominator of which is the value of the Index for the calendar month one (1) year prior to the Index month used for the numerator. Each twelve (12) months ("year") Landlord agrees to contribute a maximum of twenty-five percent (25%) of the total amount of Promotion Fund Charges assessed and paid to the Promotion Fund by all tenants of the Shopping Center for such year, provided, that Landlord, at its option, may elect to contribute all or part of the services of a Promotion Fund Director, and/or secretary and/or assistants and their respective offices as part or all of such cash contribution. The Promotion Fund Director and all other Promotion Fund personnel shall may-be under the exclusive control and supervision of Landlord and Landlord shall have the sole and exclusive authority to employ and discharge the Promotion Fund Director and other Promotion Fund personnel.
