Project Specific Terms. [Personal Data The Parties hereby agree that Seller will process Personal Data under this SOW in accordance with Section 14 of this Agreement. Seller adheres to the U.S.-EU Privacy Shield Principles (“Privacy Shield”). Seller agrees to process any Personal Data it receives from Customer about European Union residents in accordance with Seller’s Privacy Shield certification. Seller agrees to maintain its Privacy Shield certification for the duration of this SOW.] Contact Person(s) Each Party will appoint a person to act as that Party’s point of contact (“Contact Person”) as the time for performance nears and will communicate that person’s name and information to the other Party’s Contact Person. The Customer Contact Person is authorized to approve materials and Services provided by Seller, and Seller may rely on the decisions and approvals made by the Customer Contact Person (except that Seller understands that Customer may require a different person to sign any Change Orders amending this SOW). The Customer Contact Person will manage all communications with Seller, and when Services are performed at a Customer-Designated Location, the Customer Contact Person will be present or available. The Parties’ Contact Persons shall be authorized to approve changes in personnel and associated rates for Services under this SOW. Expiration and Termination This SOW expires and will be of no force or effect unless it is signed by Customer, transferred in its entirety to Seller so that it is received within thirty (30) days from the date written on its cover page, and then signed by Xxxxxx, except as otherwise agreed by Seller. Either Party may terminate this SOW for cause if the other Party fails to cure a material default in the time period specified in the Agreement (defined herein). This SOW can be terminated by Seller without cause upon at least fourteen (14) days’ advance written notice. Change Orders A Change Order will be of no force or effect until signed by Xxxxxxxx, transferred in its entirety to Seller so that it is received within thirty (30) days from the date on its cover page and then signed by Seller, except as otherwise agreed by Seller. In the event of a conflict between the terms and conditions set forth in a fully-executed Change Order and those set forth in this SOW or a prior fully-executed Change Order, the terms and conditions of the most recent fully-executed Change Order shall prevail.

Project Specific Terms. If the Parties agree on a Project’s scope of Subcontract Work, Subcontract Price, and other Project-specific terms, Applicable Xxxxx Entity will prepare a Work Order and deliver it to Subcontractor. The form of the Work Order is attached to this Agreement as Exhibit A. Subcontractor shall sign and return the Work Order to Applicable Xxxxx Entity within three (3) days after Subcontractor receives it. When Subcontractor accepts a Work Order by signing it or beginning the Subcontract Work, the related Subcontract will be formed.
Project Specific Terms. C1 The project must be completed before (?end date specified in application) in accor- dance with the timetables, spending profile, activities and aims of the approved applica- tion. No expenditure incurred before (?application receipt date) is eligible, except for the de- clared preparation costs that comply with the decision of the Monitoring Committee as de- scribed in Fact Sheet No 15. C2 The result of the project must be the output stated in the approved application. The output must be documented in periodic and activity reports as evidence for, or indication of, the progress and results and must be in correspondence with the budget of expenditure and the timetables set in the approved plans. A periodic report form with guidance will be sent by the Secretariat in due time. The periodic report with statement of accounts must be made at least semi-annually as for 31 March and 30 September and must be received in the Secretariat within 6 weeks from these dates. C3 8 copies of the final project report documenting activities and results of the project must be sent to the Secretariat before 3 months after the completion date given in C1 in accordance with the guidance of the Secretariat. The guidance will be available in due time. This report must include a five-page summary. The report must be comparable in structure and contents with the plans proposed in the application. C4 The amount of the final grant cannot exceed 50% of the total eligible expenditure for any project beneficiary (? if appl.: and not ?% for the Norwegian beneficiary / ies). C5 All project results must be made available to the general public free of charge and no beneficiaries can claim private physical or intellectual ownership of project results. C6 The Lead Beneficiary must ensure that the European and national rules on public tender are followed for all contracts awarded within the project in line with the descriptions in Fact Sheet No 4 on public tendering. Project Specific Terms. The Contractor's specific services, performance requirements and compensation to be provided under this Agreement shall be determined on a project-by-project basis pursuant to the various Project proposals prepared by Contractor and approved in writing from time to time during the term of this Agreement by the applicable Owner ("Approved Project Proposals"), which may be amended in writing from time to time, or supplemented with subsequent proposals for services to be rendered by Contractor, and agreed to by the applicable Owner and which are collectively hereby incorporated into this Agreement. Contractor will furnish all work, labor, tools, equipment, materials, supervision and contract administration necessary to perform the services described in each Approved Project Proposal in a good, expeditious, xxxxxxx-like and in substantial manner described in the applicable Approved Project Proposal and otherwise in accordance with the terms and conditions of this Agreement.

  • Country Specific Terms Appendix A contains additional terms and conditions of the Agreement applicable to Participants residing in those countries. In addition, Appendix A also contains information and notices of exchange control and certain other issues of which the Participant should be aware.

  • Escrow Format Specification 3.1. Deposit’s Format. Registry objects, such as domains, contacts, name servers, registrars, etc. will be compiled into a file constructed as described in draft-xxxxx-xxxxxxx-registry-data-escrow, see Part A, Section 9, reference 1 of this Specification and draft-xxxxx-xxxxxxx-dnrd-objects-mapping, see Part A, Section 9, reference 2 of this Specification (collectively, the “DNDE Specification”). The DNDE Specification describes some elements as optional; Registry Operator will include those elements in the Deposits if they are available. If not already an RFC, Registry Operator will use the most recent draft version of the DNDE Specification available at the Effective Date. Registry Operator may at its election use newer versions of the DNDE Specification after the Effective Date. Once the DNDE Specification is published as an RFC, Registry Operator will implement that version of the DNDE Specification, no later than one hundred eighty (180) calendar days after. UTF-8 character encoding will be used.
