Prohibited Person Compliance. Mortgagor warrants, represents, and covenants that neither Mortgagor, any guarantor, nor any of their respective affiliated entities is or will be an entity or person (i) that is listed in the Annex to or is otherwise subject to the provisions of Executive Order 13,224, issued on September 24, 2001 (EO13224); (ii) whose name appears on the United States Treasury Department’s Office of Foreign Assets Control’s (OFAC) most current list of “Specially Designated National and Blocked Persons,” (which list may be published from time to time in various mediums including, but not limited to, the OFAC Web site, xxx.xxxxx.xxx/xxxx/x00xxx.xxx); (iii) who commits, threatens to commit, or supports “terrorism,” as that term is defined in EO13224; or (iv) who is otherwise affiliated with any entity or person listed above (any and all parties or persons described in subparts i - iv are herein referred to as a Prohibited Person). Mortgagor covenants and agrees that neither Mortgagor, nor any guarantor nor any of their respective affiliated entities, will knowingly (i) conduct any business, nor engage in any transaction or dealing, with any Prohibited Person, including but not limited to the making or receiving of any contribution of funds, goods, or services to or for the benefit of a Prohibited Person; or (ii) engage in or conspire to engage in any transaction that evades or avoids, has the purpose of evading or avoiding, or attempts to violate any of the prohibitions set forth in EO13,224. Mortgagor further covenants and agrees to deliver (from time to time) to Mortgagee any such certification or other evidence as may be requested by Mortgagee in its sole and absolute discretion, confirming that, to the best of Mortgagor’s knowledge, (i) neither Mortgagor nor any guarantor is a Prohibited Person and (ii) neither Mortgagor nor any guarantor has engaged in any business, transaction, or dealings with a Prohibited Person, including but not limited to the making or receiving of any contribution of funds, goods, or services to or for the benefit of a Prohibited Person.

In addition, Mortgagor covenants and agrees that neither Mortgagor nor its sole member will knowingly engage in any business, transaction, or dealings with a Prohibited Person in violation of applicable laws, including, without limitation, the making or receiving of any contribution of funds, goods, or services, to or for the benefit of a Prohibited Person in violation of applicable laws.

No “employee benefit plan” established or maintained by the Company, its subsidiaries or any of their ERISA Affiliates, if such “employee benefit plan” were terminated, would have any “amount of unfunded benefit liabilities” (as defined under ERISA). Neither the Company, its subsidiaries nor any of their ERISA Affiliates has incurred or reasonably expects to incur any liability under (i) Title IV of ERISA with respect to termination of, or withdrawal from, any “employee benefit plan” or (ii) Sections 412, 4971, 4975 or 4980B of the Code. Each employee benefit plan established or maintained by the Company, its subsidiaries or any of their ERISA Affiliates that is intended to be qualified under Section 401(a) of the Code is so qualified and nothing has occurred, whether by action or failure to act, which would cause the loss of such qualification.

  • FCPA Compliance The Company has not and, to the Company’s actual knowledge, none of its employees or agents at any time during the last five years have (i) made any unlawful contribution to any candidate for foreign office, or failed to disclose fully any contribution in violation of law, or (ii) made any payment to any federal or state governmental officer or official, or other person charged with similar public or quasi-public duties, other than payments required or permitted by the laws of the United States or any jurisdiction thereof.

  • CRA Compliance Neither Buyer nor any Buyer Subsidiary has received any notice of non-compliance with the applicable provisions of the CRA and the regulations promulgated thereunder. As of the date hereof, Buyer’s and each Buyer Subsidiary’s most recent examination rating under the CRA was “satisfactory” or better. Buyer knows of no fact or circumstance or set of facts or circumstances which would be reasonably likely to cause Buyer or any Buyer Subsidiary to receive any notice of non-compliance with such provisions of the CRA or cause the CRA rating of Buyer or any Buyer Subsidiary to decrease below the “satisfactory” level.

  • CEQA Compliance The District has complied with all assessment requirements imposed upon it by the California Environmental Quality Act (Public Resource Code Section 21000 et seq. (“CEQA”) in connection with the Project, and no further environmental review of the Project is necessary pursuant to CEQA before the construction of the Project may commence.
