Common use of Programs and Procedures Clause in Contracts

Programs and Procedures. Prior to the date of the Commencement of Operations of the first Facility, Seller shall have adopted and implemented programs and procedures, consistent with Prudent Electrical Practices, intended to ensure safe and reliable operation of the Facilities. Seller may update such programs and procedures from time-to-time during the Term of this Agreement as it may determine appropriate, in its reasonable judgment and in accordance with Prudent Electrical Practices. Buyer shall be entitled to request, not more than once per calendar year and at Buyer’s sole cost and expense, that the Independent Engineer review such programs and procedures from time to time to confirm compliance with Prudent Electrical Practices.
