PROFESSIONAL SERVICES AND SUPPORT. 4.1 Company shall provide Professional Services on the terms as specified in the applicable Order and SOW. By way of example and not limitation, Company may perform Professional Services with respect to authoring, classification, compliance, configuration, customization, implementation, on-site inventory, training or other services as may be related to the Licensed Products, as well as associated emergency response support services. Each SOW will include as a minimum (i) a description of the Professional Services and any Deliverable to be delivered to Client; (ii) the scope of the Professional Services; (iii) the schedule for the provision of such Professional Services; and (iv) the applicable Fees for the Professional Services, if not specified elsewhere. Changes to an Order or SOW will require, and shall become effective only when, fully documented in a written change order (“Change Order”) signed by the duly authorized representatives of the Parties.

Company shall further provide support for the Licensed Products as specified in the Order and any applicable SLA. Support services may also be included as part of the Professional Services.

  • Professional Services Bodily injury" or "property damage" arising out of the rendering of or failure to render profes- sional services;

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. You acknowledge that the fees stated in the Investment Summary are good-faith estimates of the amount of time and materials required for your implementation. We will bill you the actual fees incurred based on the in-scope services provided to you. Any discrepancies in the total values set forth in the Investment Summary will be resolved by multiplying the applicable hourly rate by the quoted hours.

  • Educational Services Any service or supply for education, training or retraining services or testing including: special education, remedial education; cognitive remediation; wilderness/outdoor treatment, therapy or adventure programs (whether or not the program is part of a Residential Treatment facility or otherwise licensed institution); job training or job hardening programs; educational services and schooling or any such related or similar program including therapeutic programs within a school setting.

  • Scope of Professional Services 3.1 On the terms and conditions set forth in this Agreement, COUNTY hereby engages CONTRACTOR to provide all labor, materials and equipment to complete the Project/Service in accordance with the Scope of Services, attached hereto and incorporated herein as Attachment A, as modified or clarified by Addendum(s) # , dated , attached hereto and incorporated herein by reference as Attachment B.
