Product Characteristics. (a) SuperGen shall not be obligated to accept from AVI any Finished Product with less than the greater of (i) seventy-five percent (75%) of approved shelf life for such Finished Product or (ii) thirteen (13) months of remaining shelf life. (b) AVI shall provide SuperGen with a certificate of analysis with respect to the shipment of the Finished Product to SuperGen. Full batch documentation, including batch production records, and manufacturing and analytical records shall be available for review by SuperGen on site at the manufacturing facility used by AVI (or by AVI's Third Party manufacturer(s)), during regular business hours and upon reasonable advance written notice from SuperGen. (c) SuperGen shall notify AVI in writing of any defect or shortage in the quantity of any shipment of Finished Product no later than 15 days following receipt of the Finished Product. In the event of any such defect or shortage, AVI shall, at AVI's choice, replace the defective Finished Product or make up the shortage if replacement stock is available in the next shipment of Finished Product, but in any case no later than 30 days or, if no such replacement stock is available, as soon as reasonably practical after receiving such notice, at no additional cost to SuperGen. (d) With respect to all AVI Third Party manufacturers of the Compound, the Product, and the Finished Product, AVI shall provide SuperGen with a continuing FDA guarantee in the format as set forth in 21 C.F.R. Section 7.13(A)(j).

Product Characteristics. The Buyer represents that it has the requisite expertise, facilities and equipment to properly store, test, use and dispose of the Products. The Buyer and all its employees and others that handle the Products shall familiarize itself with the characteristics of the Products and shall comply with all laws, regulations, and standards applicable to the possession, handling, processing or use of the Products. The Buyer shall follow any safety recommendations or product instructions given by the Company, save that, notwithstanding any such recommendations or product instructions given by the Company, the Buyer shall be solely responsible to ensure that the Products are stored, tested, used, sold and/or disposed of strictly in compliance with any applicable health, safety, environmental, land use or other guidelines, standards, laws and/or regulations.

Product Characteristics. Supplier guarantees that Products and their packaging: (i) will be of new material, good quality and workmanship, and free from defects; (ii) will not impart any unintended flavor, odor, or color to any Buyer finished product; (iii) will conform to all applicable laws and regulations; (iv) will conform to all samples approved by Buyer and all previous shipments of Products in accordance with this Agreement; (v) will conform to warranties arising from our course of performance, course of dealing, or usage of trade; and (vi) will not, to Supplier’s knowledge, cause exposure to any chemical determined under the California Safe Drinking Water and Toxic Enforcement Act of 1986 and its regulations and amendments to cause cancer or reproductive toxicity.

The Buyer and all its employees and agents that handle the Products shall familiarize themselves with the characteristics of the Products and shall comply with all laws, regulations, and standards applicable to the unloading, taking delivery of, possession, handling, processing or use of the Products. The Buyer shall follow the safety recommendations of the Company provided that, notwithstanding any product instructions given by the Company, the Buyer shall be responsible to ensure that the Products shall be unloaded, offtaken, stored, tested, used, sold and/or disposed of strictly in compliance with instruction of the Company and any applicable law, regulation and standard.

Product Characteristics. 11.1 The nature of our Product requires the Customer to take particular care when installing or using them. The Customer is responsible for ensuring that goods are suitable for their intended purpose and no warranty condition or representation is given by Fluidvalves as to the fitness of the goods for any particular purpose other than what is expressly stated on the Product Sheet. The goods are sold on the express understanding that the Products can be correctly handled in order to maximise the performance and significantly increase the lifespan of your Product. All Products must be maintained and regularly inspected for correct operation. All fluids used must be clean and conform to appropriate ISO/International standards. All Products must be installed in accordance with the installation and operating procedure. 11.2 Regards the Customers use of any secondary containment or environmental protection, including tank bund or other means of environmental protection including overfill alarm. It is the Customers responsibility to ensure they have made adequate provision and it is no way the responsibility of Fluidvalves to provide such support.
