PRODUCER SERVICES. Xxxxxx Xxxxxxxxx must actually and actively render producing services on each Picture (it being acknowledged that the parties contemplate Beacon delivering four (4) Pictures per year to Universal, each of which will be produced by Xx. Xxxxxxxxx), and must receive appropriate producer or executive producer in connection with each Picture. If at any time, for any reason, Xx. Xxxxxxxxx ceases or fails to render producer services on a Picture, or becomes incapable of rendering producer services on future pictures, or is no longer an employee or principal of Beacon, Universal shall have the right in its sole discretion to terminate this agreement.

PRODUCER SERVICES. 3.1 The PRODUCER shall undertake and perform the duties and responsibilities commonly associated with acting in the capacities of a PRODUCER. The PRODUCER agrees that their duties may be reasonably modified at the Company’s and the PRODUCER’s mutual agreement from time to time.
PRODUCER SERVICES. (a) Each Recording recorded hereunder shall be produced, subject to paragraph 4, by a producer mutually approved by you and Company. You shall be solely responsible for the engagement of such producer and for the payment of all monies becoming payable to such producer, unless such producer is a Staff Producer (as defined in subparagraph 8(b). In the event Company elects to pay any such producer directly, Company may deduct or recoup such payment from all monies payable to you under this agreement or any other agreement. Company agrees to comply with Artist's reasonable request to pay any producer directly, however, failure of Company to comply with Artist's request shall not be deemed to be a breach hereof.

Provided that you provide Company with a copy of the payment provisions of your agreement with such mutually approved producer, Company shall not refuse to comply with your request to pay such producer solely on the basis that such request is for the Producer royalty to be paid to such producer retroactive to record one after recoupment of Recording Costs, other than the Producers advance, at the royalty rate payable to you hereunder net of any such royalty requested to be paid to such producer, (i.e. Artist Royalty less the Producer Royalty).
PRODUCER SERVICES. During the term of this Agreement, RMS will be the exclusive producer and supplier of, and will produce and/or supply, all Elements in the Sales Floor Shows for broadcast, air and play on the Network. ADVANCE will produce and supply, or cause to be produced or supplied, all Ads in the Sales Floor Shows for broadcast, air and play on the Network.

PRODUCER SERVICES. Not later than 90 days prior to the Scheduled Expiration Date of this Agreement or, if Employee’s employment is terminated pursuant to Section 4(g) of this Agreement, then within 90 days following the effective date of the 4(g) termination, Employee shall notify Company whether Employee elects to opt in a First Look Deal, as defined below, in accordance with the terms attached hereto as Exhibit C (the “First Look Deal”). If Employee does not provide timely notice regarding his intentions to opt in to the First Look Deal as set forth above or if Employee’s employment is terminated prior to the Scheduled Expiration Date pursuant to Section 4(b), 4(c) or 4(d) of this Agreement, then the First Look Deal shall be null and void and of no effect and neither party shall have any liability or obligation to the other under the First Look Deal."   • Our Services As insurance intermediaries we generally act as the agent of our client. We are subject to the law of agency, which imposes various duties on us. However, in certain circumstances we may act for and owe duties of care to other parties, including the insurer. We will advise you when these circumstances occur, so you will be aware of any possible conflict of interest. We offer a wide range of products and services which may include: • Offering you a single or range of products from which to choose a product that suits your insurance needs; • Advising you on your insurance needs; • Arranging suitable insurance cover with insurers to meet your requirements; • Helping you with any subsequent changes to your insurance you have to make; • Providing all reasonable assistance with any claim you make. In some cases, we act for insurers under a delegated authority agreement and can enter into insurance policies, issue policy documentation and/or handle or settle claims on their behalf. Where we act on behalf of the insurer and not you, we will notify you accordingly and in relation to claims we will advise you of this fact when you notify us of a claim.   • Pharmacy Services The Contractor shall establish a network of pharmacies. The Contractor or its PBM must provide at least two (2) pharmacy providers within thirty (30) miles or thirty (30) minutes from a member’s residence in each county, as well as at least two (2) durable medical equipment providers in each county or contiguous county.

  • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Cloud Services If You would like to deploy Cloud Services, We grant You and Your Affiliates a non-exclusive, non-transferable, worldwide right to authorize individuals solely within Your and Your Affiliates’ organization (“Users”) to access or exchange data via the Cloud Services during the Term (as defined in Section 8 below), but only for Your own internal business purposes and subject to the terms and conditions of this Agreement and terms associated with the specific Cloud Services contained in the Order and applicable schedule(s). We are not responsible for web pages or servers that are not owned or controlled by Us, even if linked to (including via application programming interfaces) the Cloud Service. We do not endorse any sites on the Internet that are linked through the Cloud Service; such links are provided to You and your Users only as a convenience. Under no circumstances may the Cloud Services be used for any illegal or illicit purpose in any geography where the Cloud Services are used. You must: (i) protect the secrecy of Your authorized user IDs and passwords; (ii) notify Us immediately of any unauthorized use of any user ID or password or any other known or suspected breach of security; and (iii) report to Us immediately and use reasonable efforts to stop any copying or distribution of content not authorized by Us. You agree that anyone who inputs a valid user ID and password will be deemed an appropriate User unless and until You notify Us otherwise in writing. Any individual User who has violated this Section may have its account suspended.

  • Program Services a) Personalized Care Practice agrees to provide to Program Member certain enhancements and amenities to professional medical services to be rendered by Personalized Care Practice to Program Member, as further described in Schedule 1 to these Terms. Upon prior written notice to Program Member, Personalized Care Practice may add or modify the Program Services set forth in Schedule 1, as reasonably necessary, and subject to such additional fees and/or terms and conditions as may be reasonably necessary.
