If the Customer objects to the Company\u2019s change of sub-processor, the Customer shall inform the Company of its objections in writing within five (5) business days of receipt of information about the change from the Company and shall be entitled to terminate access to the part of the Company Platform to which the change in subcontracting relates with immediate effect and without liability in the event the Company does not take into consideration the Customer\u2019s objections;\ne) be fully responsible for all acts or omissions of its employees, agents, and sub-processors in the same manner as for its own acts or omissions;\nf) implement and maintain technical and organizational measures designed to prevent a breach of Personal Data, and in the event of a breach of Personal Data, the Company shall notify the Customer without undue delay and undertake all remediation efforts reasonably necessary to rectify the breach of Personal Data;\ng) promptly notify the Customer without undue delay of any request:\ni. for information from or complaint by a data protection authority in relation to Personal Data that the Company Processes for the purpose of providing access to the Company Platform; and,\nii. to the Company by an individual to exercise rights under Data Protection Laws such as to access, rectify, amend, correct, share, delete or cease processing his or her personal data;\nh) provide all assistance to the Customer as reasonably necessary for the Customer to meet its obligations under Articles 32-36 of the GDPR at the Customer\u2019s cost;\ni) at the choice of the Customer, promptly delete or return all Personal Data on the Customer\u2019s request or the termination of this Agreement, unless required otherwise by the Law of the European Union or a member state thereof;\nj) upon the Customer\u2019s request, make available information reasonably necessary to demonstrate the Company\u2019s compliance with its obligations under the GDPR, and allow for the Customer or another auditor mandated by the Customer to annually audit such compliance; and\nk) Process Personal Data only at the locations and/or geographies set out in the Agreement and shall not change them without informing and receiving approval from the Customer. Accordingly:\na) where the Buyer hosts the Licensed Software, the details of Processing are as follows: Subject matter and nature of Processing Provision of Services specified in Order Form Categories of Personal Data Name, vehicle registration number plate Categories of data subjects Buyer personnel, drivers, hauliers, suppliers Purposes Provision of Services specified in Order Form Duration For the term of the relevant Contract Subject matter and nature of Processing Provision of Services specified in Order Form Categories of Personal Data Name and licence registration details Categories of data subjects Buyer personnel, drivers, hauliers, suppliers Purposes Hosting the Licensed Software Provision of Services specified in Order Form Duration For the term of the relevant Contract\nb) Where the Supplier hosts the Licensed Software, the details of Processing are as follows:\nc) To the extent clauses 13.7.2(a) or (b) do not reflect the Processing undertaken by the Supplier in connection with the Services, the parties shall record the Processing details in the relevant Order Form for those Services.\n13.7.3 To the extent that the Supplier Processes any Personal Data on behalf of the Buyer in connection with the Services, the Supplier shall:\na) solely Process the Personal Data for the purposes of fulfilling its obligations in the Contract and in compliance with the Buyer\u2019s written instructions as set out in the Contract, unless the Supplier is required by applicable law to otherwise Process that Personal Data;\nb) ensure that any persons used by the Supplier to Process Personal Data are required to treat the Personal Data confidentially;\nc) take appropriate technical and organisational measures against unauthorised or unlawful Processing of Personal Data and against accidental loss or destruction of, or damage to, Personal Data taking into account the nature of the Processing and harm that might result from such unauthorised or unlawful Processing, loss, destruction or damage and the nature of the Personal Data to be protected including without limitation, all such measures that may be required to ensure compliance with Article 32 of the GDPR;\nd) taking into account the nature of the data Processing activities undertaken by the Supplier and the information available to the Supplier: (i) provide all reasonable possible assistance and co-operation to enable the Buyer to fulfil its obligations to respond to requests from individuals exercising their rights under the Data Protection Legislation; (ii) notify the Buyer as soon as reasonably practicable if the Supplier or any sub-processor engaged by on behalf of the Supplier suffers a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to, Personal Data that is Processed in connection with the Contract (Personal Data Breach); (iii) following a notification under clause 13.7.3(d)(ii), provide reasonable co-operation, information and assistance to the Buyer as may be necessary to enable the Buyer to notify relevant supervisory authorities and data subjects of the Personal Data Breach to the extent such notification is required under the Data Protection Legislation. The Buyer shall pay the Supplier\u2019s reasonable costs incurred in providing such assistance under this clause 13.7.3(d);\ne) assist the Buyer with carrying out data protection impact assessments
